Outlook, commentary, and risks

  • No numerical revenue or earnings guidance is provided in the filing. Management expected operating expenses to rise in absolute dollars as the company invests in products, employees, sales, and international expansion, and expected margins to fluctuate.
  • Management expected Traps billings to begin ramping in the second half of fiscal 2015, with a more meaningful revenue contribution in fiscal 2016. It also stated that existing cash and operating cash flow should meet anticipated needs for the foreseeable future.
  • Key stated risks include intense competition, sustaining growth and managing rapid expansion, reliance on channel partners and third-party manufacturers, supply constraints, product defects or security failures, and uncertainty in customer subscription and support renewals. Three channel partners accounted for 69% of quarterly revenue; four accounted for 81% of gross accounts receivable at quarter-end.
  • Approximately $140.5 million of cash, cash equivalents, and investments was held outside the United States. The company said it did not currently plan to repatriate these funds.
  • The Juniper litigation was settled in May 2014 for consideration with an accounting-date fair value of $182.5 million, including cash, common stock, and a warrant. The settlement resolved pending litigation and included a cross-license and an eight-year mutual covenant not to sue. The company reported no accrual for other legal proceedings and did not consider an unfavorable outcome probable or reasonably possible as of quarter-end.
  • Open contract-manufacturer orders were $39.0 million. The company also disclosed future net operating lease obligations of $95.9 million after expected sublease proceeds.

Most important facts for investors to verify

  • Whether strong services, subscription, and deferred-revenue growth continued, and how billings compare with recognized revenue.
  • Whether gross-margin pressure from product mix, new-product costs, and amortization persists, and whether operating expenses scale more slowly than revenue.
  • How much reported cash generation depends on deferred-revenue growth and noncash share-based compensation.
  • The terms and potential cash, dilution, and accounting effects of the convertible notes, note hedges, and warrants.
  • Whether channel-partner and receivables concentration, manufacturing commitments, and the company’s stated liquidity outlook have changed.
