FY2015 revenue mix shifted toward fixed-fee solutions, whose growth was primarily attributed to Exensio, while lower 28nm wafer volumes reduced Gainshare revenue. R&D expense rose 36% to $19.1 million, in part due to investment in the new DFI solution; SG&A rose 11% to $20.4 million, including acquisition-related costs.

At December 31, 2015, cash and cash equivalents were $126.2 million, working capital was $148.8 million, total assets were $191.8 million, and stockholders’ equity was $174.3 million. The company reported no undisclosed borrowings or debt and stated that cash and expected operating funds should cover operating needs, capital expenditures, and other obligations for at least 12 months. Long-term income taxes payable were $2.5 million; selected financial data also reports $3.0 million of long-term obligations.

Cash increased by $10.7 million during the year. Investing used $10.3 million, including $5.2 million for acquisitions and $4.8 million for capital expenditures. Financing used $7.4 million, primarily reflecting $14.5 million in share repurchases. Fourth-quarter 2015 revenue was $24.1 million, gross profit $14.0 million, net income $2.8 million, and diluted EPS $0.09.

Material changes and notable items

  • Total revenue declined from 2014 despite 21% growth in solutions revenue, as Gainshare revenue fell by $13.3 million amid depressed 28nm volumes.
  • Net income fell to $12.4 million from $18.5 million. The decline reflected lower gross profit and $7.1 million higher operating expenses, partly offset by a $2.5 million lower tax provision.
  • PDF acquired Syntricity in July 2015 for approximately $5.2 million net of cash acquired, with up to $2.5 million in contingent payments. It also acquired Salland semiconductor software assets in January 2015. Acquired revenues and expenses were not material in 2015.
  • The company repurchased 1.09 million shares for $14.5 million during 2015. At year-end, $10.5 million remained under its $25 million repurchase authorization.
  • FY2015 revenue was highly concentrated: GlobalFoundries accounted for 53% and Samsung for 12%. Three customers represented 66% of gross accounts receivable at year-end.

Outlook, risks, and contingencies

No numerical revenue or earnings guidance is provided. Management expected leading foundries to continue investing in leading-edge nodes and capacity in 2016, but cautioned that 28nm utilization might not increase substantially, or at all, during 2016, potentially weighing on Gainshare revenue. Management also cited opportunities from advanced manufacturing technologies and Exensio growth.

  • Gainshare depends on customer wafer volumes, yields, product sales, and customer-reported performance information; these factors can cause substantial revenue variability and timing uncertainty.
  • Customer concentration, especially reliance on GlobalFoundries, exposes results to lost or delayed contracts, pricing pressure, customer financial difficulties, and changes in manufacturing plans.
  • Other risks include semiconductor-market cyclicality, lengthy sales and implementation cycles, execution and adoption of new products, competition, international operations and foreign exchange, cybersecurity, intellectual-property disputes, and recruiting and retaining technical staff.
  • Contractual commitments totaled $9.3 million, including $4.2 million of operating leases and $5.1 million of purchase obligations. The company reported no material legal proceedings and no litigation accrual. Uncertain tax positions included $2.5 million recorded as long-term income taxes payable.
  • Management concluded disclosure controls and internal control over financial reporting were effective; the auditor issued an unqualified opinion on the financial statements and internal controls.

Important facts for investors to verify

  • Whether 28nm wafer utilization and associated Gainshare revenue stabilized or recovered after 2015.
  • Whether Exensio and other solutions growth can offset the decline and volatility in Gainshare revenue.
  • Ongoing customer concentration, contract renewals, and the exposure represented by customer receivables.
  • Returns and costs associated with the Syntricity and Salland acquisitions, including contingent payments and integration progress.
  • Cash-flow sustainability, the effect of stock-based compensation, and use of the remaining share-repurchase authorization.
  • Potential tax-audit outcomes and the realizability of deferred tax assets and tax-credit carryforwards.
