Cash and short-term investments exceeded current liabilities of $34.4 million. Inventory was $87.8 million, down from $97.2 million at year-end 2023. The company reported total assets of $413.9 million and stockholders’ equity of $85.9 million.
Operating cash flow benefited from net income adjusted for noncash items and working-capital inflows, primarily lower inventory. Financing cash flow was $6.9 million, primarily from stock-option exercises and employee stock purchases.
Material changes and unusual items
- Revenue declined across both categories: endpoint IC revenue fell to $61.5 million from $67.0 million, and systems revenue fell to $15.3 million from $18.8 million. Endpoint IC weakness reflected lower average selling prices and shipment volumes; systems weakness reflected lower reader, gateway, and reader IC revenue, partly offset by higher test and measurement revenue.
- Gross margin declined mainly because of higher production costs on lower production volumes and revenue, partly offset by improved direct product margins in systems.
- Operating expenses rose to $49.3 million from $48.0 million, including $1.8 million of restructuring costs and $1.4 million of acquired-intangible amortization, neither of which was recorded in the prior-year quarter. General and administrative expense declined $2.2 million, primarily due to lower legal and other professional-service costs.
- Reported net income was substantially affected by the March 13 NXP settlement. Impinj received a one-time $45.0 million payment, recorded as settlement income. The parties also agreed to cross-license patents, end pending proceedings, and release specified pre-March 31, 2024 claims. Impinj expects to recognize a $15.0 million annual license fee as revenue in Q2 2024 for the April 1, 2024–March 31, 2025 usage period, provided NXP continues using the specified patents; subsequent annual fees rise by an unspecified fixed percentage.
- On February 7, 2024, Impinj initiated a restructuring affecting approximately 10% of employees. Q1 charges were $1.8 million; $0.6 million remained accrued at quarter-end.
Outlook, risks, and contingencies
Management stated that existing cash, cash equivalents, and short-term investments should be sufficient for anticipated needs for at least the next 12 months under its current operating plan. The filing provides no clear numerical revenue, earnings, or margin guidance. Management expects continued quarter-to-quarter revenue variability and says the return of historical seasonality in 2024 is unclear. It expects research and development expense to increase in absolute dollars as it invests in product development.
Key risks include uncertain and uneven RAIN adoption; revenue concentration in endpoint ICs and a small number of customers; limited visibility into end-user demand because sales are primarily partner-led; competition and pricing pressure; wafer and component supply constraints; inventory forecasting and obsolescence risk; and execution challenges in scaling enterprise solutions. The company also highlights international, trade, geopolitical, intellectual-property, privacy and cybersecurity risks. NXP may terminate the license if it successfully designs out the specified patents; the license also carries breach-related termination provisions. Impinj reported $17.6 million of non-cancelable inventory purchase commitments and no accrued litigation contingency liabilities at quarter-end. It said there were no material changes to previously disclosed commitments and contingencies other than those described in the filing.
Disclosure controls and procedures were assessed as effective at a reasonable assurance level as of March 31, 2024; the company reported no material change in internal control over financial reporting during the quarter.
Important facts for investors to verify
- Whether Q2 revenue includes the expected $15.0 million NXP annual license fee and whether NXP continues using the licensed patents.
- How much of Q1 operating cash flow and GAAP net income is repeatable, given the settlement income and inventory-related working-capital benefit.
- Whether endpoint IC volumes, average selling prices, and gross margin stabilize or continue to weaken.
- Progress on restructuring, including realized savings and any further charges, alongside planned R&D investment.
- Wafer and component availability, inventory quality, and the ability to meet partner demand without excess or obsolete stock.
- Convertible-note dilution and repayment exposure; the filing reports $287.5 million principal due in 2027 and notes that conversion or repayment capacity depends on future cash generation and financing access.
- Share-count consistency: the balance sheet reports 27.658 million shares outstanding at March 31, while the statement of changes in equity reports 27.660 million; confirm the correct figure in the filed statements or XBRL data.
