  • Total debt was $21.8 million, all associated with finance leases, compared with $24.6 million at October 31, 2023. The company reported non-GAAP net cash of $472.1 million, versus $474.7 million at fiscal year-end.
  • Six-month capital expenditures were $63.3 million. Investing cash outflow was $114.7 million, including purchases of short-term investments; financing cash outflow was $4.7 million.

Material changes versus comparable periods

  • Q2 revenue decreased 5.4% year over year but rose 0.3% from Q1 FY2024. Compared with Q2 FY2023, IC revenue fell 3.7% and FPD revenue fell 9.9%. High-end IC revenue increased 32.2% year over year, while mainstream IC revenue declined 16.4%.
  • Q2 gross margin declined 210 basis points year over year, primarily from lower premium charges and increased labor and equipment/overhead costs as a share of revenue. Operating income declined 16.4% year over year.
  • Q2 net income attributable to Photronics shareholders fell 9.2% year over year, while diluted EPS declined from $0.65 to $0.58. The six-month shareholder-attributable income rose to $62.4 million from $53.9 million, with favorable year-to-date foreign-currency impacts contributing to the reported result.
  • Six-month revenue declined 1.6% year over year. Operating cash flow increased $8.3 million, while investing cash outflow increased, mainly because of greater purchases of short-term investments and property, plant, and equipment.

Outlook, commentary, risks, and unusual items

  • Management cited April 2024 Taiwan earthquakes and soft demand following Chinese New Year as Q2 revenue headwinds. FPD revenue also reflected premium-smartphone seasonality; management described softer mainstream demand in both IC and FPD markets.
  • Management said supply and demand generally remained favorable, while backlogs for most high-demand products had normalized to less than a month. It expects continued demand for AMOLED photomasks as technology advances increase demand for higher-value masks.
  • The filing does not provide numeric revenue or earnings guidance; it directs investors to the separate Q2 earnings release, presentation, and conference call. Management estimates FY2024 capital expenditures of approximately $140 million, mainly for IC capacity and efficiency.
  • Capital expenditure commitments were approximately $133.3 million, with an additional $18.9 million of recognized liabilities for capital equipment purchases. Management estimates funding $98.0 million of the $152.2 million in combined committed and recognized obligations over the next 12 months.
  • Management believes liquidity, including cash generation and available financing, is sufficient for the next 12 months and foreseeable future. Approximately $25 million of borrowing capacity is available in China; the prior corporate credit agreement expired in September 2023 without outstanding borrowings.
  • Foreign-currency movements materially affected reported earnings. A 10% adverse movement in currencies different from subsidiaries’ functional currencies was estimated to produce a $56.4 million net unrealized pretax loss. Management notes that currency movements may continue to affect results.
  • Commitments and contingencies include ordinary-course claims, which management believes will not materially affect the financial statements. A previously accrued China customs-audit contingency was partly reversed after settlement in November 2022. No material risk-factor changes were reported; disclosure controls were deemed effective.

Important facts for investors to verify

  • Review the separate earnings release and call for current revenue and earnings guidance, since this 10-Q does not state numeric guidance.
  • Track whether mainstream IC and FPD demand, premium charges, and high-end product mix improve, and whether normalized backlogs persist.
  • Assess the effect of foreign-exchange gains and losses on reported earnings, alongside the company’s non-GAAP results and stated currency sensitivity.
  • Monitor planned capital spending, equipment commitments, cash held overseas, and the timing and availability of the China borrowing facility.
  • Review the finance-lease buyout obligations and the status of the remaining $31.7 million share-repurchase authorization; no shares were repurchased during the quarter.
