Q2 revenue grew about 72% year over year, led by equipment, hydrogen infrastructure and cryogenic equipment sales. Growth included acquired CIS revenue. Despite higher sales, gross loss widened; management cited ramp-up costs for new products, higher service and parts costs, fuel costs and inefficiencies, and warrant-related revenue provisions. Service, PPA and delivered-fuel activities remained loss-making.

Operating expenses for Q2 were $155.7M, including $10.0M of impairment expense and a $15.3M charge for the change in fair value of contingent consideration. Six-month interest income rose to $34.0M from $5.9M, but did not offset operating losses. The six-month net loss included a $12.9M loss on equity-method investments.

  • At June 30, 2023, cash and cash equivalents were $579.4M; restricted cash was $973.9M; available-for-sale securities were $437.7M; and equity securities were $67.8M. Cash, cash equivalents, available-for-sale securities and equity securities totaled approximately $1.085B, excluding restricted cash.
  • Working capital was $1.8B. Cash used in operations was $625.0M for the first half, driven in part by inventory and other working-capital needs. Capital spending on property, plant and equipment was $319.3M.
  • Inventory increased to $904.3M from $645.6M at year-end; the company recorded an $11.1M reserve for excess and obsolete inventory.
  • Debt and financing obligations included $194.6M carrying value of convertible notes due in 2025, $4.2M carrying value of acquired debt, and $376.8M of finance obligations. Operating and finance lease liabilities totaled $394.9M. The filing reports $75.3M of finance obligations due within 12 months.
  • Restricted cash includes significant collateral for sale/leaseback arrangements and escrow for hydrogen plant construction; it is not equivalent to unrestricted liquidity.

Material changes, outlook and risks

  • First-half revenue rose to $470.5M from $292.1M, while net loss increased to $443.0M from $329.8M and operating cash use increased to $625.0M from $405.1M. Total gross margin deteriorated to (31.4)% from (23.2)%.
  • Management stated that working capital and cash position should fund operations for at least one year after issuance of the financial statements. It is seeking debt and project-financing solutions and said continued growth investment depends on obtaining additional financing. No specific numerical revenue or profitability guidance is provided in the supplied filing text.
  • Management reported material weaknesses in internal control over financial reporting remained unremediated at June 30, 2023; disclosure controls and procedures were therefore considered ineffective.
  • Management identified continuing losses, potential need for additional capital and dilution, manufacturing and supply-chain execution, inventory aging, customer concentration, hydrogen plant construction and product cost risks. It also warned that eligibility for Inflation Reduction Act incentives, particularly the clean hydrogen production credit, is uncertain and depends on government guidance.
  • Legal matters include securities class actions and derivative suits, a trade-secret and contract dispute, and employment-related claims. The company said it had recorded no accruals for legal matters. A €20M guarantee supporting a HyVia grant agreement could be called if specified milestones are not met; management assessed that likelihood as remote.
  • A March 2023 ransomware incident caused temporary internal-system disruption; the company reported systems restored and no material impact identified through June 30. A one-time contract-related impairment of approximately $9.8M was included in Q2 expenses.

Important facts for investors to verify

  • Whether gross margins and operating cash use improve as new manufacturing capacity, hydrogen plants and products ramp.
  • How much of reported cash and securities is practically available after restrictions, collateral needs and planned capital investment.
  • Progress and terms of financing plans, and potential share dilution; the filing lists 157.1M potentially dilutive shares, excluded from diluted loss per share because the company reported a loss.
  • Remediation of material weaknesses in financial reporting controls and any further developments in securities and other litigation.
  • Whether inventory growth converts into shipments and revenue, and whether customer concentration and loss-making service, PPA and fuel activities change.
  • Final rules and the company’s project eligibility for clean-hydrogen incentives, alongside execution of plant construction and operating milestones.
