T&D revenue rose to $17.4 million from $9.5 million, led by E-Bloc and other power-system sales; segment operating income improved to $1.8 million from a $1.1 million loss. Critical Power revenue increased to $9.6 million from $8.8 million, but its operating loss widened to $2.0 million from $0.4 million, reflecting higher e-Boost development, marketing and promotional costs. Corporate overhead also rose.

Consolidated cost of goods sold was $22.4 million. Raw-material costs were approximately 54% of revenue, versus 53% in FY2021. Selling, general and administrative expense, including separately presented depreciation and amortization, totaled $8.6 million, up 64%. FY2021 net income comparability benefited from a $1.4 million PPP-loan forgiveness gain; FY2022 reported $0.1 million of other expense.

Cash, liquidity and obligations

Current assets were $33.0 million and current liabilities $19.0 million at year-end. Cash was $10.3 million; accounts receivable increased to $11.1 million from $2.4 million, inventories to $8.7 million from $4.2 million, and deferred revenue to $10.7 million from $2.4 million. The company attributed higher operating cash use primarily to working-capital movements.

Investing activities provided $4.7 million, principally from collection of more than $6.2 million of principal and interest on seller notes; capital expenditures were $1.5 million. Financing activities used $0.4 million. The company reported no revolving credit facility and no material conventional borrowing balance; lease liabilities totaled approximately $2.3 million, including operating and finance leases. Management stated that cash was sufficient to fund operations for the next 12 months. The company had $8.6 million remaining available under its ATM offering at year-end and did not sell shares under it in 2022.

Changes, outlook and risks

  • Year-end backlog increased 63% to $37.2 million from $22.8 million, primarily due to E-Bloc orders. Management expects most backlog to be delivered within 12 months, but cautions that orders may be delayed or canceled.
  • One customer, Enchanted Rock Electric, accounted for approximately 45% of FY2022 revenue; three customers represented 57%, 13% and 11% of year-end receivables. The filing identifies customer concentration and collection risk.
  • The company terminated its CleanSpark distribution agreement in June 2022, assumed responsibility for billing and collecting certain Enchanted Rock orders, returned portions of deposits, and assumed claims and warranty responsibilities for previously manufactured products distributed or sold by CleanSpark.
  • Supply constraints, inflation and geopolitical pressures increased material costs and made timely sourcing more difficult. Management cited potential effects from economic conditions, labor availability and costs, customer demand, and COVID-19-related and geopolitical disruption.
  • No formal revenue or earnings guidance is provided. Management plans continued investment in product development, capacity and promotion, including E-Bloc and e-Boost; these costs are expected to continue in the near term.
  • Management identified a material weakness in controls over revenue recognition for complex and nonroutine contracts. Revenue-related accounts for the first and second quarters of 2022 were misstated and corrected through a revision in the third-quarter 10-Q. Disclosure controls were deemed ineffective at year-end; remediation was underway but was not yet considered complete. The auditor did not attest to internal controls.
  • The 2022 financial statements received an unqualified audit opinion, with no critical audit matters reported. The filing states the company was not aware of legal proceedings expected to have a material adverse effect.

Important facts for investors to verify

  • Whether the customer concentration, particularly Enchanted Rock, persists and whether receivables are collected as expected.
  • Whether the $37.2 million backlog converts to recognized revenue and cash, and whether E-Bloc demand continues.
  • Whether Critical Power can reduce its operating losses and e-Boost investment burden.
  • Whether working-capital needs, elevated receivables and inventory, and operating cash outflows remain manageable against management’s 12-month liquidity assessment.
  • Whether revenue-recognition controls are effectively remediated and whether reported results require further correction.
  • How CleanSpark-related warranty and claims responsibilities, raw-material cost pressures, and available ATM equity capacity affect future results and share dilution.
