  • Q2 gross margin was $493.0M, or about 82% of revenue, versus $428.7M, or about 79%, a year earlier. Q2 non-GAAP operating margin was 42.1%, up from 38.2%; non-GAAP measures exclude specified items including stock compensation and acquired-intangible amortization.
  • Recurring revenue was $564.0M in Q2 (+15%); ARR was $2.09B at quarter-end (+11%, or 12% in constant currency). Management reported ARR growth across CAD, PLM, and all regions.
  • Support and cloud services revenue rose 11% in Q2; license revenue rose 19%. Professional services revenue fell 21%, reflecting PTC’s strategy of using partners and products requiring fewer services.
  • As of March 31, cash and cash equivalents were $249.0M, down from $288.1M at September 30, 2023. Total debt was $2.01B ($2.006B net of senior-note issuance costs), versus $1.70B. Debt included $514M on the revolver, $497M on the term loan, and $1.0B of senior notes.
  • Available borrowing under the credit facility was $719.7M. $514.7M of debt was classified as current, including approximately $499M associated with the 3.625% notes due February 2025. Revolver borrowings carried a 6.9% annual rate; PTC reported compliance with debt covenants.
  • Remaining performance obligations totaled $2.05B, including $724.6M recorded as deferred revenue; PTC expects to recognize approximately 60% over the next 12 months.

Material changes and notable items

  • Q2 revenue growth was led by Creo, Windchill, and Codebeamer. PLM software revenue grew 13% and CAD software revenue 16%. First-half PLM growth also benefited from ServiceMax, acquired in January 2023.
  • Operating margin increased year over year, with higher revenue and lower acquisition-related costs contributing. Q2 acquisition and transaction-related costs were $0.3M versus $11.9M; first-half costs were $2.8M versus $17.7M.
  • First-half operating cash flow increased $46.2M. Management attributed the increase to higher collections, partly offset by higher interest, salary-related payments, and vendor disbursements. Q2 cash-flow growth also reflected higher collections and lower vendor payments.
  • PTC paid $620.0M in October 2023 to settle deferred ServiceMax acquisition consideration and acquired pure-systems for $93.5M in October 2023, primarily financed through the credit facility. First-half investing cash use was $103.9M, versus $859.7M a year earlier, when the ServiceMax acquisition was funded.
  • Q2 included a $2.0M impairment loss on a non-marketable convertible note. The first-half effective tax rate was 22%, compared with 17%, reflecting geographic income mix and a $3.6M non-cash tax expense related to a foreign tax reserve.

Outlook, risks, and contingencies

  • The filing does not provide a clear numerical full-year revenue or earnings outlook. Management expects approximately $12M of capital expenditures in the second half of FY2024 and expects to use substantially all remaining FY2024 operating cash flow to repay revolver debt. Management believes available cash, operating cash flow, and credit capacity can meet requirements through at least the next 12 months.
  • A key refinancing risk: if the 2025 notes are not refinanced to mature on or after April 3, 2028, or redeemed by November 16, 2024, outstanding credit-facility borrowings become due on November 16, 2024. The notes mature in February 2025.
  • Management cited potential customer purchasing delays or subscription reductions from challenging macroeconomic conditions, high interest rates and inflation, tighter credit, foreign-exchange volatility, geopolitical conflicts and tensions, and competition or slower adoption of PTC offerings. These could affect ARR, results, and cash flow. About 55% of revenue and 35% of expenses are transacted in currencies other than the U.S. dollar.
  • PTC is under tax audits in several jurisdictions. The filing describes ordinary-course customer and partner indemnities and product and services warranties; management considers related estimated liabilities immaterial. No significant changes in market-risk exposure were reported.
  • Disclosure controls were deemed effective. PTC completed the first phase of a new ERP implementation during the quarter and reported no material adverse effect on internal controls.

Investor facts to verify

  • Progress and terms for refinancing or redeeming the $500M 2025 notes before the November 16, 2024 credit-facility trigger.
  • Whether ARR growth and recurring-revenue trends persist, especially across PLM and CAD, and how contract timing affects reported license revenue.
  • Debt repayment, revolver usage, interest expense, and liquidity after the ServiceMax payment and pure-systems acquisition.
  • Cash-flow conversion and the sustainability of margin improvement, considering stock-based compensation and other items excluded from non-GAAP results.
  • Outcomes of tax audits, foreign tax exposures, and the effect of currency movements and macroeconomic conditions on customer demand and collections.
