Material changes and business drivers
- Enterprise revenue grew 37% and Desktop revenue grew 5%. Enterprise license revenue increased 41%; Desktop license revenue declined 1%, which management attributed partly to a strong prior-year comparison.
- MKS and 4CS, acquired in 2011, contributed $18.5 million of GAAP revenue in the quarter. Management attributed growth also to customer demand, product releases and improving economic conditions.
- GAAP results included $9.3 million of intangible-asset amortization, $13.4 million of stock-based compensation and $2.1 million of acquisition-related charges. Non-GAAP results exclude these and other specified items.
- Prior-year operating results included an approximately $5 million expected loss on a strategic automotive services contract; the prior-year cash flow also reflected the litigation settlement.
Outlook, risks and unusual items
- For FY2012, management targeted GAAP and non-GAAP revenue growth of 12%–14%, license revenue growth of approximately 17%, maintenance growth of approximately 10%, and consulting and training growth of approximately 14%. The plan assumed an exchange rate of $1.30 per euro and anticipated currency headwinds.
- Management targeted FY2012 non-GAAP operating margin of approximately 20%, up from approximately 18% in FY2011. Its longer-term FY2015 targets were annual revenue growth of 11%–13% and non-GAAP operating margin of 25%–27%.
- A workforce reduction of approximately 3% was announced after quarter-end. PTC expected a roughly $20 million restructuring charge and cash expenditure in Q2 FY2012, with quarterly operating expense savings of approximately $5 million beginning in Q3.
- Management expected cash and operating cash generation to cover requirements for at least 12 months. It anticipated approximately $31 million in FY2012 capital expenditures, $55 million of share repurchases, and reducing facility borrowings to $100 million by September 30, 2012. No shares were repurchased in the reported quarter.
- The China investigation concerns payments by certain business partners and expenses by certain employees that raised possible compliance issues, including under the Foreign Corrupt Practices Act. PTC disclosed its investigation and remedial actions to the DOJ and SEC and was cooperating; outcomes could include fines or other sanctions. China historically generated 6%–7% of revenue.
- Other risks include foreign-exchange movements, reliance on large customer transactions, uncertain global economic conditions, tax audits and tax estimates. The company reported $16.8 million in unrecognized tax benefits and said that up to $6.0 million of unrecognized benefits and accrued interest could potentially be reduced within 12 months.
- Credit covenants were met at quarter-end: leverage ratio 0.78 versus a 2.50 maximum, and fixed-charge coverage 3.52 versus a 1.25 minimum. The facility matures September 30, 2016.
