Revenue growth was led by secondary storage systems, up 53% to $28.2 million. Primary storage systems rose 11% to $11.3 million, devices and media rose 15% to $12.6 million, services rose 8% to $32.8 million, and royalties rose 28% to $4.1 million. Product gross margin improved to 25.7% from 23.4%, while service margin was essentially unchanged at 60.2%.

Interest expense fell 40% to $3.9 million, primarily due to a lower principal balance. Research and development expense rose 11% and sales and marketing rose 21%, reflecting product development, higher customer activity and investment in strategic markets. General and administrative expense was broadly stable; restructuring charges declined to $0.3 million from $1.1 million.

At June 30, 2021, cash and cash equivalents were $19.1 million, down from $27.4 million at March 31, 2021. The company also held $5.5 million of restricted cash. Current assets were $140.7 million and current liabilities were $153.2 million. Balance-sheet debt was $11.9 million current and $81.3 million long-term, net of debt issuance costs; the debt note reports $102.0 million of principal, including the $10.0 million PPP loan. The company had $20.4 million of availability under its revolving credit facility, subject to borrowing-base and other terms. Stockholders’ deficit was $112.9 million.

Operating cash use reflected working-capital movements, including higher inventories and lower deferred revenue, partly offset by collections of accounts receivable. Investing cash use was $1.2 million, including approximately $1.0 million for ERP software. Financing cash use was $0.5 million, primarily scheduled debt amortization.

Material changes, outlook and risks

  • Business and management commentary: Management cited improved demand in hyperscale, backup and archive applications, higher LTO media volumes, and stronger installation, professional and managed services demand. It announced a new StorNext architecture and H4000 appliances, a Supermicro partnership, and ActiveScale 6.0.
  • Outlook: The filing provides no specific quantitative revenue, earnings or cash-flow guidance. Management said COVID-19 and related supply-chain and customer-demand effects could continue to affect liquidity and capital resources. It noted that interim results may not indicate full-year performance.
  • Financing after quarter-end: On August 5, 2021, Quantum entered into a $100 million senior secured term loan, using part of the proceeds to repay the prior senior secured term loan. The new loan matures August 5, 2026, has quarterly principal and interest payments, and includes minimum-liquidity and total-net-leverage covenants, among other provisions. The PNC facility remained a separate source of borrowing availability as of June 30.
  • Other subsequent events: In July 2021, the PPP loan and accrued interest were approved for full forgiveness. Quantum also acquired specified Pivot3 video-surveillance business assets on July 20 for approximately $5.0 million in cash and 459,720 shares, and assumed certain liabilities. Purchase-price allocation was still in progress.
  • Commitments and contingencies: Non-cancelable inventory purchase commitments were $57.5 million at June 30. Patent litigation brought by Realtime Data remained pending; the company stated that a material adverse effect was remote. A Starboard-related Delaware lawsuit naming Quantum and former officers remained pending, and Quantum said it could not estimate the range of possible outcomes.
  • Additional risks: The company is exposed to debt-covenant compliance and liquidity risks, COVID-19 and supply-chain uncertainty, and significant tax uncertainty. It reported $102.8 million of unrecognized tax benefits. Management reported disclosure controls were effective at a reasonable-assurance level and no material quarterly change in internal control.

Important facts for investors to verify

  • Whether revenue growth, particularly in secondary storage, continues and translates into improved overall gross margin.
  • Cash conversion and working-capital trends, including inventory, deferred revenue and the continuing operating cash outflow.
  • The terms and ongoing costs of the August 2021 refinancing, covenant headroom, and the company’s total debt and liquidity after closing.
  • The financial impact and integration progress of the Pivot3 asset acquisition, including the final purchase-price allocation and assumed liabilities.
  • Developments in the Starboard and Realtime Data litigation, and any changes in the $57.5 million of inventory purchase commitments.
  • Whether PPP forgiveness is reflected in subsequent-period results and how tax attributes, valuation allowances and unrecognized tax benefits evolve.
