Volumes and yield. LTL tonnage fell 6.6% and shipments fell 2.8%; LTL revenue per hundredweight rose 4.6% to $15.17. Management attributed the revenue decline primarily to lower tonnage and fuel surcharges, partly offset by yield management. Fuel surcharge revenue was 12.7% of operating revenue, versus 17.1% a year earlier.

Costs and margins. Higher yield and network optimization helped operating income despite lower revenue and adverse weather. Lower fuel costs, improved fuel efficiency, fewer accident-claim costs and reduced use of purchased transportation contributed to lower expenses. Salaries, wages and benefits rose 5.0%, partly reflecting the July 2014 wage increase and higher headcount. Depreciation and amortization increased 9.8%.

Cash flow and investment. Operating cash flow was $26.2 million; investing activities used $52.9 million, including $30.1 million for property and equipment and $23.1 million for the LinkEx acquisition. Financing activities provided $22.5 million. Cash declined by $4.2 million to $0.2 million. Management said the operating-cash-flow improvement was largely due to working-capital fluctuations.

Balance sheet and liquidity. At March 31, 2015, working capital was $49.0 million. Total debt was $107.6 million, up from $83.0 million at December 31, 2014; cash was $0.2 million. The company reported $66.6 million drawn on its revolving facility and $142.1 million available under the facility after borrowings and letters of credit, subject to covenants. It reported compliance with debt covenants.

Material changes and outlook

  • On March 6, Saia amended and restated its bank credit agreement: the revolver increased from $200 million to $250 million, maturity extended to March 2020, pricing margins reduced, and the borrowing base and minimum tangible net worth covenant were eliminated. The agreement retains financial covenants and is secured by specified assets; an additional $75 million accordion requires lender approval.
  • LinkEx was acquired for approximately $25 million, subject in part to profit targets. Goodwill and identifiable intangibles increased to $31.0 million from $8.2 million at year-end.
  • Management projected approximately $125 million of net capital expenditures for 2015, including $34.4 million committed as of quarter-end. It expected the July 2014 wage increase to add approximately $14 million annually and anticipated further market-competitive wage increases in 2015.
  • No specific earnings or revenue guidance was provided. Management said it would continue yield, cost, productivity, safety and service initiatives, and adjust resources to changing volumes. It cited economic uncertainty, competition and excess industry capacity.

Risks, contingencies and other disclosures

  • Risks include economic downturns, pricing pressure, customer loss or credit problems, driver and fuel availability and costs, acquisition integration and synergy execution, debt covenant compliance, regulation, weather, labor relations, litigation, and volatility in self-insured claims.
  • Saia self-insures certain claims, with retention limits generally ranging from $250,000 to $2.0 million per claim. Management said claim estimates could be affected by severity, medical-cost inflation and other factors. Pending legal matters could materially affect results in a quarter or year, though management did not expect a material adverse effect on consolidated financial position.
  • Yellow Worldwide provided guarantees for certain pre-March 1, 2000 workers’ compensation and casualty claims; collateral allocated to Saia was $1.8 million. Unrecognized tax benefits were approximately $1.2 million, with $1.3 million of accrued interest and penalties; settlement timing beyond one year could not be estimated.
  • Management reported effective disclosure controls and no material change in internal control over financial reporting during the quarter. The filing stated there were no material changes to the risk factors disclosed in the 2014 Form 10-K.

Important facts for investors to verify

  • Letters of credit are reported as $41.3 million in the debt and contractual-obligations disclosures, but the MD&A overview states $43.1 million. Confirm the correct amount and resulting revolver availability.
  • Assess whether higher LTL yield and cost reductions can offset continued declines in tonnage and shipments, lower fuel surcharge revenue, and wage pressures.
  • Review LinkEx purchase-price adjustments and subsequent contribution to growth and profitability.
  • Compare actual 2015 capital spending with the approximately $125 million outlook and monitor cash generation, debt levels and covenant headroom.
  • Evaluate the potential variability of self-insurance claims and the outcomes of pending legal and tax matters.
