Q2 revenue rose 119% and first-half revenue rose 55%. Management attributed the increase primarily to business application deployments, particularly in retail as the economy reopened. Higher revenue and fixed-overhead absorption supported improved gross margins. Operating expenses increased 12% in Q2 and 6% for the first half.
Reported net income includes a $1.87 million deferred income tax benefit, principally related to a tax deduction from disqualified incentive stock-option dispositions. Excluding that benefit, net income would have been approximately $757,000 for Q2 and $960,000 for the first half; these are simple adjustments, not company-reported non-GAAP measures.
First-half cash provided by operations was $450,000, versus $244,000 in 2020. Investing used $305,000; financing provided $2.65 million, primarily from $1.78 million of option exercises and $875,000 net CalCap borrowing. Cash increased to $4.92 million from $2.12 million at year-end. At June 30, current assets were $12.36 million and current liabilities $5.26 million, implying working capital of about $7.10 million.
Total liabilities were $5.65 million. Debt included $875,000 outstanding on the CalCap loan and subordinated convertible notes with approximately $1.33 million net carrying value. The notes bear 10% interest, mature in August 2023, and holders may require repayment after August 31, 2021; they are secured and subordinated to bank debt. No balances were outstanding on the bank credit lines during the quarter. Inventory was $4.02 million, up from $3.20 million at year-end.
Material changes, outlook, and risks
- SpringCard technology acquisition: Socket Mobile recorded $1.88 million of intangible assets for contactless technology acquired in exchange for shares and a warrant. It also agreed to pay SpringCard $192,293 to resolve implementation issues, with no further financial obligation under the agreement. Amortization began April 1 over 15 years.
- Supply and purchasing: Management increased inventory to address component shortages and longer lead times. Non-cancelable inventory purchase commitments were approximately $10.86 million, of which $10.63 million was due within one year. This is a material working-capital and execution exposure relative to cash on hand.
- Management expects continued significant R&D investment as revenue grows and anticipates higher sales and marketing expense in the second half to improve the website, brand awareness, and customer reach beyond retail. No quantified revenue or earnings guidance was provided.
- COVID-19 and the Delta variant could affect demand, suppliers, manufacturing, operations, liquidity, and the global economy; the ultimate impact was described as uncertain. Management also cited dependence on limited suppliers, distributors, and application developers; supply delays, quarterly order volatility, competition, and the ability to sustain profitability and raise capital.
- Customer concentration is significant: Ingram Micro and BlueStar represented 59% of Q2 revenue combined; the three customers identified as contributing at least 10% accounted for 71%. The top two suppliers represented 46% of Q2 inventory purchases. Management reported no material legal proceedings, no off-balance-sheet arrangements, effective disclosure controls, and no material change in internal control during the quarter.
Key facts investors should verify
- Whether sales growth and improved operating profitability continued after the reopening-related rebound, and how much earnings depend on the one-time tax benefit.
- Whether component availability, the $10.86 million purchase commitments, and inventory growth translated into timely shipments, sales, and cash collection without excess or obsolete stock.
- The repayment, conversion, and interest implications of the 10% related-party subordinated notes, including holders’ repayment rights after August 31, 2021, and the CalCap loan amortization.
- Whether distributor and customer concentration, including the large Q2 shares for BlueStar and Ingram Micro, changed or created material receivable or demand risk.
- Realizability of the $7.38 million deferred tax asset, which depends on future taxable income and may be affected by future ownership changes.
