Material Changes and Unusual Items

  • On December 19, 2023, ScanSource sold its UK-based intY business for $18.0 million in net cash proceeds and recognized a $14.5 million gain. It retained the CASCADE cloud services distribution platform.
  • In January 2024, the company initiated a cost-reduction and restructuring program expected to produce approximately $10.0 million of annualized SG&A savings. It recorded $3.9 million of employee separation and benefit costs, with $2.8 million remaining accrued at March 31, 2024.
  • The nine-month effective tax rate was 21.0%, benefiting from the divestiture gain and other items. Q3 included a $1.5 million discrete tax benefit related to a prior-period Brazilian tax recovery.
  • The company repurchased approximately 469,881 shares under its existing authorization during the quarter for $20.1 million. Approximately $44.9 million remained available at March 31, 2024. In May 2024, the board approved an additional $100.0 million authorization.

Outlook, Risks and Contingencies

Management expects an effective tax rate, excluding discrete items, of approximately 29.2% to 30.2% for fiscal 2024. Management believes available cash, operating cash flow and borrowing capacity will satisfy working-capital and other funding needs for at least the next twelve months.

Key risks include prolonged economic weakness, inflation and supply-chain challenges, lower hardware demand, customer and supplier credit exposure, loss or renegotiation of major supplier relationships, foreign-exchange and interest-rate volatility, cybersecurity incidents, information-technology disruptions, employee retention and international regulatory or tax matters. Management stated that no material changes occurred to previously disclosed risk factors and that no material market-risk changes occurred since June 30, 2023.

The company reports ongoing lawsuits arising from operations but does not expect known matters to have a material adverse effect. Brazilian tax contingencies associated with the historical Network1 acquisition remain supported by indemnification receivables of approximately $4.0 million. The filing states that disclosure controls and procedures were effective as of March 31, 2024.

Investor Verification Points

  • Confirm whether the restructuring program delivers the targeted $10.0 million of annualized savings and assess any additional restructuring costs.
  • Monitor recovery in Specialty Technology Solutions volumes, particularly mobility and barcode, and the sustainability of Modern Communications & Cloud margin improvement.
  • Validate working-capital normalization, including inventory turns, receivable collections and vendor-payment timing, which drove the substantial operating cash inflow.
  • Reconcile reported earnings with adjusted measures, particularly the $14.5 million divestiture gain, tax recovery, restructuring, cyberattack restoration and divestiture-related costs.
  • Track Intelisys billings and recurring connectivity and cloud growth as an offset to hardware weakness.
  • Review covenant compliance and exposure to floating interest rates, foreign-exchange movements and cybersecurity events.
  • Assess capital allocation following the additional $100.0 million share-repurchase authorization and the facility’s restriction on cash dividends.
