Q2 revenue grew 55.3% year over year, with Industrial & Commercial revenue up 61.2% and Home & Life up 48.6%. Management attributed growth to higher unit volumes and substantially higher average selling prices. Operating expenses rose to $132.5 million from $107.8 million, mainly reflecting personnel, product-introduction and commission costs.

At July 2, 2022, cash and cash equivalents were $504.9 million and short-term investments were $972.8 million, totaling approximately $1.48 billion. Accounts receivable were $72.1 million; inventory was $74.0 million. Current assets were $1.71 billion and current liabilities $232.1 million. The company reported $535 million principal amount of 2025 convertible notes, with a $528.6 million net carrying value, and no revolver borrowings under its $400 million facility. It was in compliance with facility covenants.

For the first six months, cash from continuing operating activities was $83.4 million, versus $5.7 million a year earlier. Continuing investing activities used $27.9 million, and continuing financing activities used $586.7 million, including $579.0 million of cash share repurchases. Cash declined $569.8 million to $504.9 million; discontinued operations used a further $38.6 million.

Material changes and unusual items

  • Gross margin improved 5.5 percentage points in Q2 and 6.9 points for the first half. Management cited product mix and price increases, but warned that higher inventory costs and capacity constraints could pressure future margins.
  • The company repurchased 3.14 million shares for $436.4 million in Q2 and completed its $600 million repurchase program. In July, the board authorized a new program of up to $250 million through December 2023.
  • Adoption of accounting standard ASU 2020-06 increased the carrying value of convertible debt and reduced retained earnings by $60.0 million at adoption. It also reduced reported note-related interest expense and increased 2022 EPS.
  • Q2 revenue included an $11.4 million increase from revised assumptions for distributor returns and price-protection variable consideration. For the six-month period, the net reported increase from such assumption changes was $5.0 million. Investors should assess the estimates and revenue timing.
  • Available-for-sale investments had $15.4 million of gross unrealized losses at July 2, primarily due to interest-rate changes; the company reported no material credit-related declines. Other comprehensive loss for the first half was $11.6 million.
  • The effective tax rate was 33.2% in Q2 and 33.5% for the first half, affected by new U.S. rules requiring capitalization and amortization of research costs, as well as the prior-period presentation of tax benefits.

Guidance, commentary and risks

For Q3 fiscal 2022, management forecast revenue of $265–$275 million, gross margin of 60%, operating expenses of approximately $137 million, an effective tax rate of 36%, and diluted EPS of $0.49–$0.59. Management expected R&D and SG&A expenses to increase in absolute dollars in Q3.

Management said existing cash, investments, the credit facility and operating cash flows should meet short- and long-term capital needs. Key disclosed risks include semiconductor supply and capacity constraints, higher input costs, cyclicality and pricing pressure, reliance on third-party manufacturing concentrated in Asia, COVID-19 and geopolitical disruption, customer and distributor concentration, and foreign-market exposure. Two distributors each accounted for more than 10% of first-half revenue; distributors collectively represented 81%, and 85% of revenue was derived outside the United States.

The company is appealing a Norwegian tax assessment involving approximately $14.2 million of additional tax; management believes its position is more likely than not to be sustained but says an unfavorable outcome could materially affect the financial statements. Routine legal proceedings were not expected to have a material adverse effect.

Important facts for investors to verify

  • Confirm the reporting-period discrepancy: the filing covers Q2 2022, not Q2 2021.
  • Review Q3 guidance against actual results, particularly the expected margin decline from Q2’s 62.3% and forecast operating-expense growth.
  • Evaluate how much revenue growth and margin improvement depends on pricing, constrained supply, and distributor-related variable-consideration estimates.
  • Track inventory growth, supply availability, and the potential for inventory obsolescence or cost increases.
  • Assess the cash and dilution implications of the $535 million convertible notes, including the company’s cash-settlement election for principal and share settlement of any excess conversion value.
  • Monitor substantial buybacks and the new $250 million authorization relative to liquidity and investment portfolio values.
  • Follow the Norwegian tax appeal and the company’s geographic, distributor, and outsourced-manufacturing exposures.
