Business context and reporting period

Silicon Laboratories designs mixed-signal semiconductor products and software, with continuing operations focused on IoT, industrial automation and consumer markets. The company uses third parties to manufacture, assemble and test its products. Its infrastructure and automotive business was reported as discontinued operations after the April 2021 agreement to sell it to Skyworks Solutions; the sale closed July 26, 2021, after the quarter-end.

Material changes versus the prior comparable period

  • Q2 continuing revenue rose 48.2%; unit volumes increased 50.7%, while average selling prices declined 1.1% year over year.
  • Gross margin declined despite higher gross profit, reflecting product-mix variation. Management noted ongoing pricing pressure as products mature.
  • Q2 operating loss improved by $20.3 million year over year. Research and development expense rose 11.8% to $64.8 million; selling, general and administrative expense rose 6.5% to $43.0 million.
  • First-half operating cash flow from continuing operations fell to $5.7 million from $28.1 million. The prior-year investing comparison included the $316.8 million Redpine Signals acquisition; current-period investing cash inflow primarily reflected net sales of marketable securities.
  • The remaining 2022 convertible notes were redeemed or converted in early 2021, including $140.6 million in cash payments and issuance of 528,022 shares. The remaining notes at quarter-end were the 0.625% convertible notes due 2025.

Outlook, commentary and risks

For fiscal Q3 2021, management forecast revenue of $170–$180 million, gross margin of 57%–57.5%, operating expenses of approximately $116 million, an effective tax rate of (11)%, and diluted loss per share of $(0.56)–$(0.46). It expected research and development and selling, general and administrative expenses to increase in absolute dollars in Q3.

The sale of the infrastructure and automotive business was completed July 26, 2021 for $2.75 billion in cash. The company expected to record an after-tax gain of approximately $2.1 billion in Q3 2021. Temporary transition services to Skyworks were expected to generate cash flows that would not be material to ongoing operations.

  • Supply and execution: Management cited constrained semiconductor foundry, assembly and test capacity and longer supplier lead times. The company relies on third parties, primarily in Asia, and generally lacks long-term capacity commitments.
  • Demand and pricing: Semiconductor cyclicality, product-mix shifts, falling average selling prices, customer order variability and lengthy design-to-volume cycles may affect revenue and margins.
  • Concentration: Distributors generated 81% of first-half revenue, and the three largest distributors accounted for 59%. No individual end customer represented more than 10% of first-half revenue.
  • Geographic and pandemic exposure: 89% of first-half revenue was from outside the U.S.; management identified COVID-19, supply-chain disruption, geopolitical and trade risks, including U.S.–China tensions.
  • Tax contingency: The Norwegian Tax Administration assessed approximately 141.3 million Norwegian kroner ($16.4 million) of additional tax related to 2013 intercompany pricing. Silicon Labs disputes the assessment and is appealing; an unfavorable outcome could materially affect results.
  • Other risks: Convertible-note cash settlement and dilution exposure, foreign-exchange and interest-rate changes, cyber and product-liability risks, and uncertainty in the divestiture transition. The company reported that it did not expect ordinary-course legal proceedings to have a material adverse effect.

Key investor verification points

  • Confirm the reporting period: this filing covers Q2 2021, not Q2 2020, and distinguish continuing operations from discontinued operations.
  • Track post-sale results, cash proceeds and the timing and final amount of the expected approximately $2.1 billion after-tax gain.
  • Compare Q3 guidance with reported results, particularly revenue, gross margin, operating expenses and diluted loss per share.
  • Monitor whether supply constraints, product mix and selling-price declines affect shipments and gross margin.
  • Review operating cash generation, distributor exposure and inventory levels; quarter-end inventory was $52.3 million and represented 64 days of inventory.
  • Assess the outcome of the Norwegian tax appeal and the company’s ability to manage its convertible debt and any potential dilution.
