Material changes and unusual items
- IoT, Infrastructure and Access growth was offset in part by lower Broadcast revenue, primarily from weaker consumer IC demand. Management attributed growth in other product groups mainly to market-share gains, market growth, or increased VoIP demand.
- Operating expenses increased 15.6% to $89.2 million. R&D rose 10.3% to $46.9 million, reflecting higher personnel costs, headcount and Bluegiga; SG&A rose 22.2% to $42.3 million, including acquisition costs and higher personnel costs. SG&A also included a $0.6 million fair-value adjustment to acquisition-related contingent consideration.
- Gross margin included $1.1 million of acquired-inventory fair-value charges. The Bluegiga purchase price was approximately $58.0 million, including $25.5 million of identifiable intangible assets and $35.9 million of goodwill; allocation remained preliminary. The acquisition added approximately $2.2 million of debt.
- Investing cash flow included $76.9 million of net acquisition payments: $56.9 million for Bluegiga and $20.0 million for the Energy Micro holdback. The company also paid approximately $6.3 million of Energy Micro earn-out consideration. Financing included $10.1 million of share repurchases.
- Inventory rose to $61.1 million from $52.6 million at fiscal year-end, partly due to Bluegiga inventory, new-product ramps and a high-voltage product manufacturing transition. Days of inventory increased to 82 from 73.
Outlook, liquidity and risks
- Management forecast Q2 fiscal 2015 revenue of $164 million to $169 million and diluted EPS of $0.11 to $0.17. It expected R&D expense to rise and SG&A to decline in Q2. Fiscal 2015 capital expenditures were estimated at $14 million to $16 million.
- Management said existing cash, investments and credit availability should cover capital needs for at least 12 months. The $130 million revolving facility was undrawn; the company reported compliance with its credit covenants. A $100 million term loan was hedged against LIBOR fluctuations through July 2017.
- Key risks include semiconductor cyclicality and price erosion; customer and distributor concentration; reliance on third-party manufacturing and testing; inventory exposure to forecast errors; international and supply-chain disruptions; acquisition integration and contingent payments; and intellectual-property litigation.
- All $8.0 million par value of auction-rate securities had failed auctions, with maturities from 2033 to 2046; the company reported a $7.4 million fair value and said it did not expect to need access to the funds before maturity. No impairment was recorded.
- In Cresta Technology’s patent dispute concerning television tuners, the ITC administrative law judge found no violation by Silicon Laboratories; the ITC final determination was still pending, and the related district court case was stayed. The company stated it could not predict the outcome or financial impact.
Most important facts to verify

- Bluegiga’s contribution to sales and margins, integration progress, final purchase-price allocation, and contingent consideration assumptions.
- Inventory quality, demand forecasts and the completion and customer qualification of the high-voltage manufacturing transition.
- Cash generation and the use of liquidity for acquisitions, share repurchases and debt service.
- Developments in the Cresta litigation and the accessibility and valuation of auction-rate securities.
