Silicon Laboratories Inc. — Form 10-Q Summary
Period: Third quarter and first nine months of fiscal 2015; quarter ended October 3, 2015. The request metadata says “2014 Q3,” but the filing itself reports fiscal 2015 Q3 and compares against the quarter ended September 27, 2014.
Business context and financial performance
Silicon Labs designs fabless analog-intensive mixed-signal integrated circuits for Internet of Things (IoT), broadcast, infrastructure and access markets. It acquired Bluetooth and Wi-Fi module provider Bluegiga in January 2015.

Q3 revenue declined 1.2% year over year; nine-month revenue rose 5.7%. Gross margin was lower in both comparisons. Q3 net income increased despite lower revenue, principally alongside a much lower tax provision and lower SG&A. Nine-month net income and operating income declined.
Segment and operating changes
- Q3 IoT revenue increased 25.3% to $65.3m, reflecting market-share gains, market growth and Bluegiga sales. Infrastructure grew 10.3% to $31.1m.
- Q3 Broadcast revenue fell 31.2% to $36.5m, reflecting weaker consumer IC market and share, and the prior-year $2.1m patent sale; Access revenue fell 6.1% to $23.3m.
- For the first nine months, IoT grew 28.9% to $195.2m and Infrastructure grew 13.1% to $91.4m; Broadcast declined 20.9% to $122.1m. Prior-year patent sales contributed $7.1m to Broadcast revenue.
- Q3 unit volume fell 7.0% year over year while average selling prices rose 7.6%. Nine-month unit volume increased 4.3% and average selling prices 2.9%.
- Q3 R&D rose 9.3% to $46.5m. SG&A declined 18.8% to $35.7m, mainly due to lower acquisition contingent-consideration adjustments and legal fees. Nine-month R&D and SG&A increased 11.0% and 3.8%, respectively.
Liquidity, debt and capital allocation
At October 3, 2015, cash and cash equivalents were $135.6m and short-term investments were $112.7m, for total cash, cash equivalents and short-term investments of $248.3m. Current assets were $429.4m and current liabilities $129.3m. Total debt was $80.0m ($10.0m current and $70.0m long term), versus $87.5m at January 3, 2015. The company reported compliance with its credit-facility covenants.
Nine-month operating cash flow was $87.4m. Investing used $8.6m, including $76.9m in net acquisition-related payments, offset in part by investment maturities and sales. Financing used $84.8m, including $71.4m of share repurchases. The company repurchased 1.6m shares during the nine months and authorized an additional $100m repurchase program in August 2015.
The amended revolving facility has $300m borrowing capacity and a five-year maturity from its July 2015 closing. A $100m interest-rate swap fixes the Eurodollar component through July 2017; the company reported a combined facility and swap rate of 2.264% at quarter-end. Management said existing liquidity and credit availability should meet capital needs for at least 12 months.
Outlook, risks and unusual items
- Q4 fiscal 2015 guidance: revenue of $156m–$161m and diluted EPS of $0.05–$0.11. Management expected R&D and SG&A to increase in absolute dollars in Q4. Fiscal 2015 capital expenditures were expected to be approximately $10m–$12m.
- The nine-month effective tax rate was 8.1%, versus 28.0% a year earlier; Q3 rates were 4.5% and 38.4%. The lower current-year rates primarily reflected tax benefits associated with completion of payments under an intercompany licensing transaction. The filing notes $3.7m of unrecognized tax benefits.
- Bluegiga acquisition accounting remained preliminary. Nine-month gross margin included $2.4m of acquired-inventory fair-value charges; the company also recorded $1.2m of Bluegiga acquisition costs. Contingent consideration fair-value changes reduced Q3 SG&A expense.
- All $8.0m par value of auction-rate securities remained subject to failed auctions, with a $7.2m carrying value and maturities from 2033 to 2046. Management said it did not expect to need the funds before maturity and recorded no other-than-temporary impairment.
- Cresta Technology’s ITC complaint against Silicon Labs was terminated on September 29, 2015, with findings that asserted claims were invalid or not infringed and that the domestic-industry requirement was not met. Related district-court litigation had been stayed pending the ITC process. Silicon Labs also had separate patent claims against Cresta; outcomes and financial impacts were not predictable.
- Key risks include semiconductor cyclicality, pricing and product-mix pressure, customer and distributor concentration, lengthy design-win and qualification cycles, dependence on third-party manufacturing and assembly, international exposure, acquisition integration, and intellectual-property litigation. Two distributors each exceeded 10% of nine-month revenue; no individual end customer exceeded 10%.
Important facts for investors to verify
- Confirm the intended reporting period: the filing is fiscal 2015 Q3, not 2014 Q3.
- Track whether IoT growth and Bluegiga integration offset continuing Broadcast weakness, and whether gross margin stabilizes.
- Assess the sustainability of earnings given the unusually low tax rate and Q3 benefit from lower SG&A items.
- Review cash generation, share repurchases, debt use and compliance with facility covenants.
- Monitor the status of Cresta-related litigation, the recovery and liquidity of auction-rate securities, and resolution of Bluegiga purchase accounting and tax uncertainties.
