Outlook, commentary, and risks

  • For Q3 FY2022, management forecast net sales of $188 million to $198 million and gross margin of 62.4% to 63.4%.
  • Management described demand as strong and supply tight, with suppliers near capacity. COVID-related facility and subcontractor disruptions, increased input costs, and limited supply could affect production and deliveries. Selective price increases had been passed on, but management cautioned that future cost increases might not be fully offset.
  • Management noted that supply concerns may be prompting customers to build precautionary inventory, potentially reducing later demand as excess inventory is worked down. It also said visibility into Q3 was good but end-market demand strength remained uncertain.
  • Revenue remains exposed to customer and channel concentration: four named customers each represented at least 10% of Q2 sales; distributors accounted for 87% of sales. Asia-Pacific represented 81% of Q2 sales, and China including Hong Kong represented 63%.
  • Other risks include reliance on a limited number of overseas suppliers and subcontractors, export restrictions (including those affecting Huawei), purchase-order cancellation provisions, and uncertainty in global economic conditions. The filing said risk factors had not materially changed from the prior Form 10-K.
  • Environmental remediation at a former California facility had a remaining accrual of $1.9 million; estimated probable total loss was $7.4 million to $8.0 million, with $5.5 million paid to date. Management could not identify a best estimate within the range. A dispute remains over a Cycleo earn-out; any payment was not expected to be material. Management said outstanding legal matters were not expected to materially affect the consolidated financial statements, while noting outcomes are uncertain.

Important facts for investors to verify

  • Whether supply constraints, customer inventory building, or input-cost inflation affect shipments, margins, and the Q3 outlook.
  • Whether elevated growth in Wireless and Sensing and Protection is sustained, and how weakness in cloud and hyperscale data-center demand affects Signal Integrity.
  • The durability of customer and distributor concentration and the company’s exposure to Asia-based customers and supply chains.
  • Cash availability and deployment, including foreign-held cash, further repurchases, and the $423 million of undrawn facility capacity.
  • Updates to the California environmental remediation estimate, the Cycleo earn-out dispute, and credit-loss reserves on private-company investments.
