Material changes versus the prior year

  • Sales rose 24% despite FY2021 having an extra week. Growth reflected stronger demand across all end markets; management also noted prior-year COVID-related shipment delays.
  • Industrial sales increased 37%, high-end consumer sales 36%, and infrastructure sales 8%. Key drivers included LoRa-enabled products, 10G PON, proximity sensing, and protection products; data-center demand declined by approximately $17 million.
  • Gross margin improved to 62.9% from 61.1%, with management citing more favorable product mix and price increases that helped offset higher manufacturing costs.
  • Operating income rose to $145.0 million from $75.0 million. Net income more than doubled; FY2021 had higher investment impairment and credit-loss charges, while FY2022 tax expense increased to $15.5 million from $3.4 million.
  • Inventory increased to $114.0 million from $87.5 million. The filing reports the inventory obsolescence write-down as 27.5% of gross inventory, versus 26.3% in FY2021.
  • In Q4 FY2022, Semtech began reporting two segments: High-Performance Analog and System Protection. Prior-period segment information was retrospectively revised.

Outlook, risks, and contingencies

  • Management estimated FY2023 first-quarter sales of $195 million to $205 million and expected FY2023 gross profit to benefit from continued revenue growth. It described demand as strong and supply as tight, but cautioned that some customer orders could reflect precautionary inventory-building rather than end-market consumption; subsequent inventory reductions could weaken demand.
  • Capacity constraints, supplier concentration, manufacturing and freight interruptions, higher input costs, and COVID-related disruption could limit shipments or pressure margins. The company relies heavily on third-party foundries and assembly/test contractors, many in Asia.
  • Geographic and channel concentration are notable: customers in China, including Hong Kong, accounted for 60% of sales; foreign customers accounted for approximately 90%; and distributors generated 87% of sales. Four named customers or customer groups each represented at least 10% of FY2022 sales, led by Frontek at 18% and Trend-tek at 17%.
  • Other risks include export controls and trade restrictions, including limits affecting Huawei; customer order cancellations; semiconductor price erosion and cyclicality; competition and product-development execution; and foreign-exchange, interest-rate, tax, and cybersecurity exposures.
  • The company recorded a $1.7 million accrual for a California environmental remediation matter; its estimated probable loss range was $7.4 million to $8.0 million, with $5.7 million paid to date. Management said current legal matters were not expected to materially affect the consolidated financial statements, while noting outcomes remain uncertain.
  • The auditor issued unqualified opinions on the financial statements and internal control over financial reporting. Inventory excess and obsolescence estimates were identified as a critical audit matter.

Investor facts to verify

  • Whether tight supply and elevated backlog convert into shipments and end-market demand, or instead lead to customer inventory corrections.
  • Whether FY2023 sales and margin trends support management’s stated outlook, including the impact of input-cost inflation and pricing.
  • Exposure to China, major customers, and distributors, and any changes in export restrictions or customer order patterns.
  • Inventory quality and reserve assumptions, given the inventory build and the critical audit matter concerning obsolescence estimates.
  • Debt-facility covenant headroom, refinancing plans ahead of the November 2024 maturity, and the cash available outside foreign subsidiaries.
  • Potential changes in the environmental remediation estimate, tax exposures, or other contingencies.
