Software license revenue represented 77% of revenue, versus 75% a year earlier. Management attributed revenue growth chiefly to higher TCAD and EDA tool sales, partly offset by a $0.7 million decline in IP sales associated with an intermittent lapse in the NXP contractual arrangement. The agreement was amended in April 2024 for a new five-year term.
Operating expenses were $11.5 million, up 7%. Selling and marketing rose 18%, primarily from increased headcount and marketing events; R&D rose 7%, while G&A was approximately flat. The reported effective tax rate was 37%, versus 32% a year earlier. Non-GAAP operating income was $3.3 million and non-GAAP net income was $2.4 million; these measures exclude specified items, including acquisition-related litigation and IPO preparation costs.
Cash flow, balance sheet, and financing
- Operating cash flow was negative $2.6 million, compared with positive $0.5 million in Q1 2023. Management cited working-capital movements, particularly increases in contract assets and accounts receivable. Investing cash outflow was $0.01 million; financing provided $3.9 million, mainly from a $4.3 million bank-loan draw.
- At March 31, cash was $5.7 million; current assets were $24.2 million and current liabilities $26.2 million. Total assets were $47.4 million and total liabilities $36.8 million. Current debt comprised a $2.0 million related-party credit line and $4.3 million East West Bank loan.
- After quarter-end, the May 2024 IPO sold 6.0 million shares at $19 per share, generating $114.0 million gross and $106.0 million funded to the company after underwriting discounts and commissions. The $5.0 million Micron convertible note converted into 294,217 shares. The related-party credit line and East West Bank loan were repaid in full after the IPO; the bank facility was terminated.
- Management stated that cash, IPO proceeds, Micron-note proceeds, and available borrowing capacity were expected to cover working-capital needs and other requirements for at least 12 months. That assessment reflects the post-IPO position, not the March 31 balance sheet alone.
Outlook, significant items, and risks
- No quantified revenue or earnings guidance is provided. Management expects continued investment in R&D and sales and marketing, and anticipates additional public-company expenses.
- The IPO satisfied the liquidity-event condition on outstanding restricted stock units. The filing reports $39.1 million of unrecognized stock-based compensation at March 31; it expects to record cumulative expense following the IPO. It estimates that, had the IPO occurred by March 31, cumulative expense would have been $16.5 million, including acceleration for certain awards.
- Disclosure controls and procedures were deemed ineffective at March 31 due to a material weakness: insufficiently formalized accounting controls and an insufficient number of personnel with relevant technical accounting and reporting experience. Management described plans to strengthen processes and staffing; remediation was not yet demonstrated as complete.
- Significant contingencies include Nangate acquisition litigation seeking $20 million plus punitive damages, for which a jury trial began in Q2 2024 and no charge was recorded; an Aldini matter seeking $703 million plus punitive damages, dismissed in 2023 with an appeal pending and no charge recorded; and pending voluntary disclosures to BIS and OFAC regarding potential export-control and sanctions violations. The company said it could not estimate a possible loss for the regulatory matters.
- The company also received customer demand letters alleging deficiencies in certain IP and said it could not estimate a loss. It guarantees up to the shortfall on a related-party property loan with $0.8 million outstanding at quarter-end and an August 2024 maturity.
- Other notable exposures include international and China-related sales and export restrictions, currency movements, customer and semiconductor-industry cyclicality, cash concentration above insured limits ($3.0 million, or 52%, held at one institution), and related-party dealings. One customer represented 11% of Q1 revenue.
Important facts for investors to verify
- Track operating cash generation and the collection of receivables and contract assets; Q1 operating cash flow was negative despite GAAP net income.
- Assess the timing and income-statement impact of IPO-triggered stock-based compensation, including actual expense and award vesting.
- Monitor remediation of the material weakness and whether subsequent filings report effective controls.
- Follow developments in the Nangate trial, Aldini appeal, BIS/OFAC disclosures, and customer IP claims; outcomes and potential losses remain uncertain.
- Reconcile share-count disclosures: the cover reports 26,294,217 shares outstanding as of June 17, 2024, while a risk-factor passage gives approximately 28,529,318 shares upon IPO closing.
- Confirm the post-IPO debt repayment and liquidity position in subsequent filings, and monitor the use of IPO proceeds and the related-party property-loan guarantee.
