At September 28, 2012, cash and cash equivalents were $306.3 million, working capital was $700.7 million, total assets were $2,136.6 million and stockholders’ equity was $1,905.5 million. Short-term and long-term debt were both zero; the remaining convertible notes were retired during FY2012. Management said cash on hand and expected operating cash generation should cover requirements for at least 12 months, while noting future acquisitions could require additional capital.

Fourth-quarter FY2012 revenue was $421.1 million versus $402.3 million a year earlier; net income was $61.6 million versus $64.2 million.

Material changes versus the prior comparable period

  • Revenue growth reflected the broader product portfolio, new internally developed products, and increased content in smartphones as upgrades displaced traditional 2G phones.
  • Gross margin fell to 42.5% from 43.7%. Higher volume and lower unit manufacturing costs benefited gross profit, but were more than offset by selling-price erosion, unfavorable product mix, acquired-inventory fair-value step-ups and higher share-based compensation.
  • Operating expenses rose, including R&D up 26.0% to $212.5 million and intangible amortization up 95.6% to $32.7 million, in part due to acquisitions and increased development activity.
  • Operating cash flow declined as receivables increased $109.2 million, primarily from late-year customer shipments tied to program ramp-ups; inventory also rose $19.3 million.
  • Cash declined by $103.8 million. Major uses included $229.6 million net cash for AATI, $94.1 million of capital spending, $52.9 million to settle SiGe contingent consideration, and $48.0 million to redeem the remaining notes. Cash generated by operations partly offset these outflows.

Outlook, management commentary, risks and unusual items

The filing provides no quantified revenue or earnings guidance. Management cited growth opportunities in mobile connectivity and diversification markets, and expected established-product average selling prices to decline approximately 5%–10% annually, with mitigation through volume, cost reductions and new products. Demand is seasonal, generally highest in the first fiscal quarter and lowest for handset products in the second quarter.

  • Customer concentration is significant: Foxconn represented 29% and Samsung Electronics 17% of FY2012 revenue. The three largest receivable balances made up 60% of gross receivables at year-end.
  • Key risks include semiconductor cyclicality and pricing pressure, dependence on customer design wins and major customers, product obsolescence, manufacturing yield or supply disruptions, and competition from silicon alternatives to gallium arsenide products.
  • International exposure, especially in Asia and China, presents economic, regulatory, currency, tax and intellectual-property risks. A substantial majority of revenue was associated with customers outside the United States.
  • FY2012 included approximately $10.9 million of AATI-related transaction and legal costs, $5.8 million of charges related to contractual disputes, and $7.8 million of restructuring and other charges, primarily associated with acquisition-related redundancies. The AATI purchase-price allocation remained preliminary.
  • AATI-related shareholder litigation was pending; the company recorded no loss accrual, stating losses were not probable and that it did not believe any proceeding was reasonably likely to result in a material loss. The filing also disclosed intellectual-property, product, warranty and other contingent-liability risks.
  • The annual goodwill impairment test found no impairment. A new share-repurchase authorization of up to $200 million was approved on November 8, 2012, after fiscal year-end. No cash dividends were anticipated in the foreseeable future.

Important facts for investors to verify

  • Whether smartphone and other end-market demand, customer program ramps and design wins sustain revenue growth, particularly given Foxconn and Samsung concentration.
  • Whether gross-margin pressure from price declines and product mix eases, and whether manufacturing cost and yield improvements offset it.
  • Whether receivables and inventory convert to cash after the year-end shipment ramp, and how operating cash flow compares with capital spending and acquisition needs.
  • How AATI integration, preliminary purchase accounting, acquired goodwill and intangible amortization affect future earnings and returns.
  • The status and financial exposure of the AATI litigation, contractual disputes, tax uncertainties and other disclosed contingencies.
