Interest expense, net rose to $11.9 million from $7.9 million, reflecting the fiber notes, the absence of prior-period interest-rate-swap benefits, and other factors; $1.0 million of interest income partly offset expense. Income tax expense was $1.8 million, compared with a $1.7 million tax recovery a year earlier. The effective tax rate was affected primarily by valuation allowances on net operating losses and foreign earnings.

Cash, restricted cash, and secured-notes reserve funds totaled $79.4 million at quarter-end; $12.8 million of that total was restricted or reserved. Cash and cash equivalents fell by $26.1 million, principally reflecting fiber-network investment, operating cash use, and $5.5 million of revolver repayment. Current assets were $213.9 million and current liabilities $208.2 million; current assets include substantial deferred fulfillment costs.

Debt included $206.4 million principal outstanding under the $240 million revolving facility and $238.5 million principal on Ting’s securitized fiber notes (carrying amount $223.8 million). The revolver expires in September 2026, with required principal repayment due in 2026. The notes carry stated rates of 5.95%–9.95%, have an anticipated repayment date in April 2028, and are secured by specified fiber-related assets and revenues. The separately classified redeemable preferred-unit liability was $115.6 million; the company reported a $91.5 million liquidation preference plus a potential make-whole premium. Management reported covenant compliance at March 31, 2024.

Stockholders’ equity moved from a $9.9 million surplus at year-end to a $15.9 million deficit, mainly reflecting the quarterly loss and other comprehensive loss.

Material changes and business drivers

  • Revenue increased across the main businesses: Ting fiber revenue rose 19% to $14.1 million; Wavelo revenue rose 29% to $9.4 million, largely from DISH subscriber migration; and Tucows Domains revenue rose 4% to $61.9 million.
  • Ting reported 46,000 active subscribers, 124,000 owned-infrastructure serviceable addresses, and 33,000 partner-infrastructure serviceable addresses, compared with 37,000, 101,000, and 19,000, respectively, a year earlier. These figures exclude Simply Bits changes.
  • Domains managed totaled 24.7 million, up less than 1% year over year. New, renewed, and transferred-in domain transactions were 6.0 million versus 6.0 million.
  • Gross margin improved as revenue grew faster than total cost of revenue. Operating expenses increased, including sales and marketing (up 18%) and general and administrative (up 21%).
  • Net loss worsened despite improved operating loss, in part because net interest expense increased and income from the DISH transferred-customer payment stream declined to $3.6 million from $4.4 million.
  • Adjusted EBITDA by segment was Ting $(9.5) million, Wavelo $2.8 million, Tucows Domains $10.0 million, and Corporate $0.9 million. Wavelo improved substantially; Ting and Domains were slightly below prior-year contributions.

Outlook, risks, and unusual items

  • No specific full-year revenue or earnings guidance is provided. Management expects fiscal 2024 capital expenditures for fiber-network construction and expansion to continue to increase. Ting’s expansion and access to future financing depend on business and market conditions; management expects future footprint growth to require additional debt or equity financing.
  • Ting implemented a workforce reduction affecting 13% of Ting staff (7% of company-wide staff). Q1 restructuring costs were $2.6 million, mostly termination benefits. Management expects personnel-related savings, largely in sales and marketing, but noted savings may be partly offset by expansion spending, hiring needs, and wage inflation.
  • Wavelo has customer concentration and platform economics tied to DISH: DISH represented 10.5% of Q1 revenue and 48.2% of quarter-end accounts receivable. Management identifies maintaining the relationship and DISH subscriber growth as important risks.
  • The company accrued $0.2 million of penalties related to a minimum commitment shortfall under a retained mobile-network agreement and expects penalties to continue during 2024 and potentially thereafter until contract expiry if the shortfall persists.
  • Other key risks include fiber build costs and competition, domain-services price pressure, interest-rate and foreign-exchange movements, and the ability to service debt and preferred-unit obligations. A 1% adverse interest-rate change would increase annual revolver interest by approximately $2.1 million, assuming the quarter-end balance remained outstanding; a hypothetical 10% adverse currency movement would reduce quarterly net income by approximately $1.8 million before hedging effects.
  • Disclosure controls and procedures were not effective at March 31, 2024 because of a previously identified material weakness in IT general controls, including financial-system change management and user access. Remediation is in progress and expected to incur additional costs. Management nevertheless stated that the financial statements fairly present the company’s position and results in all material respects.
  • Legal claims arising in the ordinary course are disclosed; management does not believe their resolution will materially adversely affect financial position. No material goodwill impairment was recorded in the quarter.

Important facts for investors to verify

  • Whether Ting’s subscriber growth and planned cost savings can improve segment economics while fiber capital spending rises.
  • DISH platform and receivable concentration, the durability of subscriber migration-related Wavelo revenue, and the declining DISH legacy-customer payment stream.
  • Cash available for general use after restricted cash and reserve funds, and funding needs for Ting expansion, debt service, and preferred-unit payments.
  • Compliance with the revolver’s tightening leverage covenant (4.00:1 from March 31 through June 29, 2024; 3.75:1 thereafter) and the ability to refinance or repay obligations when due.
  • Progress and testing of remediation for the material weakness in financial IT controls.
  • The potential duration and financial impact of mobile minimum-commitment penalties and other disclosed contingencies.
