  • Q3 revenue increased 35.9%; management attributed $71.8 million of the increase to acquisitions and $39.9 million to same-store growth. For the nine months, revenue rose 44.8%, including $157.3 million from acquisitions and $168.2 million from same-store growth.
  • Q3 equipment revenue grew 29.5%, parts 53.4%, service 43.3%, and rental and other 122.4%. Rental and other margin rose to 35.3% from 26.1%, which management linked primarily to higher fleet utilization. Overall margin improvement also reflected better equipment margins and a richer mix of higher-margin parts, service, and rental activity.
  • Operating expenses rose 52.4% in Q3, faster than revenue; expenses were 11.8% of revenue versus 10.5% a year earlier. Management cited acquisition-related costs, rental-business expansion, and higher compensation and commissions.
  • Q3 Agriculture segment revenue was $361.6 million and pretax income $20.1 million. Construction revenue was $77.4 million and pretax income $3.3 million, compared with a $0.2 million loss a year earlier. Nine-month Construction pretax income was $4.5 million versus a $2.9 million loss.

Cash flow, liquidity, and debt

  • Cash was $97.9 million at October 31, 2011, up from $76.1 million at January 31. Operating cash flow was negative $176.8 million for the nine months, mainly because inventories used $232.5 million of cash as the company stocked new equipment for anticipated sales. Management’s non-GAAP operating cash flow, adjusted for non-manufacturer floorplan activity and customer-contract advances, was negative $14.5 million.
  • Investing cash use was $47.2 million, including $38.6 million for dealership acquisitions and $11.7 million for property and equipment. Financing provided $245.8 million, including $162.7 million from increased non-manufacturer floorplan borrowings and $74.9 million net proceeds from a follow-on equity offering.
  • Inventory was $738.3 million, up from $429.8 million at January 31; floorplan notes payable were $576.8 million, up from $320.8 million. Long-term debt was $59.5 million, and current maturities and short-term advances were $1.9 million.
  • At October 31, the company reported $106.3 million available under approximately $650 million of floorplan lines. It had a $75 million operating line, with $50.8 million outstanding. The company said it was in compliance with floorplan financial covenants and believed cash, operating cash flow, and available facilities would meet liquidity needs for at least 12 months.
  • A 1 percentage-point interest-rate increase was estimated to reduce next-12-month pretax earnings and cash flow by approximately $3.6 million. The company does not use derivatives for trading or speculative purposes.

Material developments, outlook, and risks

  • During the period, Titan completed multiple agricultural and construction dealership acquisitions, including ABC Rental & Equipment Sales, expanding construction rental operations. It closed its Belgrade, Montana store and recorded approximately $0.4 million of estimated lease-termination costs; the exit-cost liability was $0.5 million at October 31.
  • After quarter-end, Titan acquired dealerships in South Dakota and Iowa and agreed to acquire two dealerships in Romania, its planned first international operations. The filing identifies international execution, foreign exchange, regulatory, legal, and political risks.
  • Management cited a strong agriculture equipment market, improved regional construction conditions, and rental growth, but provided no specific numerical earnings or revenue guidance. It cautioned that weather can cause seasonal fluctuations and that nine-month results are not necessarily indicative of full-year results.
  • Other risks include adverse agriculture or construction markets and unfavorable credit conditions. The filing reports no material pending legal proceedings. Disclosure controls were deemed effective, with no material change in internal control over financial reporting.

Important facts for investors to verify

  • How much of sales and earnings growth is sustainable same-store growth versus acquired business contribution.
  • Whether inventory build converts to sales and cash flow as forecast, and whether floorplan availability and covenant compliance remain adequate.
  • Whether rental-fleet utilization and margins persist as the business expands, and how associated operating costs develop.
  • Execution, financing, and integration risks of acquisitions, particularly the proposed Romania expansion and its foreign-exchange and regulatory exposure.
  • The filing’s reported liquidity outlook and interest-rate sensitivity against subsequent borrowing, inventory, and market developments.
