Service gross margin rose to 33.8% from 32.2%, reflecting operating leverage and improved technician productivity. Distribution gross margin rose to 29.5% from 25.3%, principally from higher-margin rental revenue, including Axiom, and product mix. Segment operating income was $15.0 million for Service (up from $11.4 million) and $4.7 million for Distribution (down from $4.8 million).
Liquidity, debt and capital
- At year-end, cash and cash equivalents were $19.6 million and marketable securities were $15.5 million. Current assets were $105.2 million against current liabilities of $33.5 million.
- Total debt was approximately $4.2 million: no borrowings on the $80 million revolving facility, and $4.2 million outstanding on the term loan. The revolver runs through June 2026; $80 million was available at year-end. The term loan carries a fixed 3.90% rate and requires monthly payments through December 2025.
- The company reported compliance with its loan covenants; its defined leverage ratio was 0.10 versus 1.60 a year earlier.
- Investing cash outflow was $41.7 million, including $13.3 million of capital expenditures, $12.9 million for acquisitions and $15.5 million for marketable securities. Financing cash inflow was $27.4 million, including $77.3 million net proceeds from stock issuance and $42.7 million of revolving-credit repayments.
- In September 2023, Transcat sold 847,371 shares at $95 per share, receiving $75.2 million in net proceeds. Shares outstanding at March 30, 2024 were 8.84 million, up from 7.56 million a year earlier.
Material changes and notable items
- Service growth included $5.9 million of incremental revenue from acquisitions and 11.3% organic growth. Distribution growth included $7.0 million from Axiom, partly offset by slower non-rental demand. FY2024 included acquisitions of Axiom, SteriQual and TIC-MS.
- Operating expenses increased 22.9% to $64.0 million and rose to 24.7% of revenue from 22.6%, reflecting acquisition-related costs and amortization, higher incentive compensation, payroll and technology investment.
- The effective tax rate increased to 26.0% from 20.8%, including an $805,000 tax expense related to the executive compensation limitation. Lower interest expense partly offset higher taxes and operating costs.
- Goodwill was $105.6 million at year-end; management reported no goodwill or intangible-asset impairment. The auditor identified acquisition valuation and the NEXA earn-out valuation as critical audit matters, but issued an unqualified opinion on the financial statements and internal controls.
- After year-end, Transcat acquired Becnel Rental Tools on April 15, 2024, for approximately $50.8 million: $17.5 million cash and $33.3 million in stock. Purchase accounting was not finalized in this filing. A May 2024 amendment to the NEXA agreement set a roughly $0.5 million payment for the 2023 earn-out and removed future earn-out entitlements.
Outlook, risks and contingencies
For FY2025, management expects organic Service revenue growth in the high-single-digit to low-double-digit range, normalized for FY2024’s extra week, and further gross-margin expansion. Automation and process improvement are cited as margin drivers. The expected FY2025 effective tax rate is 24%–26%. The filing does not provide specific consolidated revenue, earnings or cash-flow guidance.
Key risks include inflation, interest-rate and economic uncertainty; competition and price pressure, particularly in Distribution; customer-industry concentration; technician recruitment, retention, utilization and pricing; supply-chain disruptions; acquisition integration and valuation; cybersecurity and reliance on aging enterprise resource planning systems; foreign currency exposure; and debt and covenant risks. Distribution orders are less predictable and may be deferred with customers’ capital spending. The business is historically seasonally stronger in fiscal Q3 and Q4. Management reported no pending or threatened legal proceeding expected to have a material adverse effect and no cybersecurity incident identified as materially affecting, or reasonably likely to materially affect, the company.
Investor verification priorities
- Separate organic growth from acquired growth and assess whether the Service segment’s FY2025 growth and margin outlook is achieved.
- Review acquisition performance and integration, including Becnel’s funding, stock dilution, purchase-price allocation and contribution to results.
- Track operating expense growth, acquisition amortization, technician productivity and the sustainability of segment margin gains.
- Assess cash conversion and investment needs alongside the $15.5 million marketable-securities balance, remaining term-loan payments and available revolver capacity.
- Monitor dilution from equity issuance and awards, and changes in goodwill, acquired intangible values and contingent or holdback liabilities.
- Compare realized results with management’s FY2025 organic Service growth and tax-rate outlook; consider that FY2024 had an extra fiscal week.
