Revenue fell 4% in Q3 and 4% for the nine-month period. Video collaboration revenue declined, mainly due to net customer attrition; professional and other services also decreased. Network services were broadly stable. Cost of revenue was 55% of revenue in Q3 versus 60% a year earlier, while it was 58% in both nine-month periods. Lower operating expenses drove the improvement to operating profitability; nine-month net loss narrowed but remained negative.

For the nine months, investing activities used $1.587 million, primarily for property, equipment and internal-use software. Financing activities used $114,000, and cash decreased $141,000 to $2.153 million. September 30 cash included $185,000 of restricted cash. Working capital was $1.970 million.

Balance sheet, debt and liquidity

  • Total assets were $25.386 million and total liabilities were $15.719 million at September 30, 2014.
  • Total debt was $11.285 million: $9.0 million under the Main Street term loan, $400,000 under its revolver, and $1.885 million under the SRS acquisition note. The term loan bears 12% interest, the revolver 8%, and the SRS note 10%. Main Street debt is secured by substantially all company assets.
  • The Main Street term loan matures in October 2018; the revolver matures in October 2015. Revolver availability was $1.6 million. An additional $2.0 million of term-loan capacity was subject to lender approval. The company reported compliance with required loan covenants.
  • Management believed available resources and projected cash flows would fund operations and debt service for at least 12 months after filing, but warned that access to credit and additional equity financing was not assured. Main Street debt has financial covenants; the SRS note has EBITDA-linked principal payment provisions.

Material changes, outlook and risks

  • Operating income improved from a loss in prior-year comparisons, chiefly due to lower operating costs. Nine-month general and administrative expense decreased substantially, including lower impairment, stock compensation, severance, acquisition, bad-debt and consulting costs.
  • Glowpoint entered an at-the-market equity sales agreement permitting up to $8 million of sales. By September 30 it had sold 89,000 shares at a weighted-average $1.33 per share, receiving $108,000 net. Further sales could dilute shareholders and depend on market prices and investor demand.
  • The company recorded a $225,000 operating-lease impairment after vacating its Pennsylvania office; it later terminated that lease for $150,000, with $75,000 remaining payable at quarter-end. It also recorded $101,000 of property-and-equipment impairment and $73,000 of software impairment during the nine months.
  • One wholesale partner generated about 11% of nine-month revenue and 12% of receivables. Another customer represented 16% of receivables. The filing says loss of a major partner without replacement revenue could materially harm results.
  • Management plans to seek acquisitions complementary to the business. No numerical revenue or earnings guidance was provided. Management cited risks to financing access and noted that adverse economic conditions or inability to raise capital on acceptable terms could materially affect the company.
  • No material changes to previously disclosed risk factors were reported; no legal proceedings or off-balance-sheet arrangements were reported. Management said disclosure controls were effective and reported no material change in internal control over financial reporting.

Important facts for investors to verify

  • Whether video collaboration customer attrition continues and whether network-service growth can offset it.
  • Cash generation, capital spending and the company’s ability to meet debt service, covenants and any EBITDA-based SRS note payments.
  • Whether stated revolving and term-loan availability remains accessible, and whether ATM sales can raise capital without material dilution.
  • Exposure to major wholesale partners and customers, and progress in replacing declining or nonrecurring revenue.
  • Returns from the increased software and service-platform investment, and whether further impairments or lease costs arise.
