  • Q3 revenue rose 52.4%; Products revenue increased 63.7% and Services revenue 4.1%. Ham-Let contributed $64.4 of Q3 revenue and $122.6 for the nine-month period since acquisition.
  • Products gross margin improved to 18.4% in Q3 from 17.3%, attributed to higher volume and favorable mix. Services margin was 35.6% versus 34.5%. Nine-month consolidated gross margin declined to 20.2% from 20.8%.
  • Cash and cash equivalents were $457.0 at September 24, 2021, versus $200.3 at December 25, 2020. Current assets were $1,052.7 and current liabilities $411.0.
  • Total bank debt was $568.3 net of $14.4 unamortized issuance costs; the U.S. term loan was $569.9 gross and carried a 3.8% rate. Cash was therefore below total bank debt. The company had $65.0 available on its U.S. revolver and was compliant with financial covenants.
  • Nine-month operating cash flow increased by $117.1 year over year. Changes included a $119.5 increase in accounts payable, alongside a $70.5 inventory increase and $35.4 increase in receivables.

Material changes and unusual items

  • The Ham-Let acquisition had purchase consideration of $362.9. The company funded it with additional term borrowing and other resources; the preliminary allocation included $92.5 of goodwill and $124.4 of identifiable intangible assets.
  • UCT raised approximately $192.8 net through an April 2021 share offering and option exercise, issuing about 3.7 million shares in total.
  • Nine-month investing cash outflow was $390.3, mainly reflecting the Ham-Let acquisition and $42.7 of property and equipment purchases. Financing cash inflow was $477.9, including debt and equity proceeds.
  • Nine-month other expense included an $11.6 loss associated with Ham-Let acquisition currency forward contracts. A $7.3 insurance recovery related to a prior Cinos Korea fire partially offset other expense. Ham-Let acquisition-related expenses were $9.5 for the nine months.
  • In July, UCT terminated an obligation to purchase additional Cinos Korea shares; $16.4 was reclassified from a liability to noncontrolling interests.

Outlook, risks, and contingencies

  • Management cited sustained semiconductor and wafer-fabrication equipment demand, with longer-term drivers including 5G, cloud, AI, and more complex devices. It also expects customer reliance on outsourced capacity and precision cleaning services to support the business.
  • No specific revenue or earnings guidance was provided. Management stated that cash, operating cash flow, and available credit were expected to be sufficient for debt service and working capital needs for at least the next 12 months.
  • Management noted that longer-term liquidity depends on growth, acquisitions, economic conditions, semiconductor-industry cycles, capital spending, and covenant compliance. Additional financing may not be available on favorable terms.
  • Revenue is highly concentrated: Lam Research and Applied Materials together represented 66.6% of Q3 revenue and 64.2% for the nine months. Their combined receivables were approximately 34.8% of accounts receivable at quarter-end.
  • Inventory purchase commitments were $472.4. The company had $582.7 of scheduled borrowing obligations, gross of unamortized issuance costs, and $102.2 of undiscounted operating lease payments.
  • The term loan uses a LIBOR-based option; the filing discusses the planned transition from LIBOR and replacement-rate provisions. UCT reported no material change to previously disclosed market risks. Routine legal claims were not expected by management to have a material adverse effect; no material risk-factor changes were reported.

Important facts for investors to verify

  • How much of reported growth and future earnings is attributable to Ham-Let, and whether the acquisition’s preliminary purchase-price allocation changes.
  • Whether demand, product mix, and margins remain resilient as inventory rises and purchase commitments are fulfilled.
  • Customer concentration and the effect of any change in orders or payment timing from Lam Research or Applied Materials.
  • Debt repayment capacity, covenant headroom, interest-rate exposure, and the LIBOR transition, particularly given cash below total bank debt.
  • Whether operating cash generation is sustainable apart from the period’s significant increase in accounts payable.
