Q3 sales rose 18.4% year over year, primarily as production recovered from COVID-related supply disruptions. Nine-month sales declined 1.5%, including an estimated 3.1% negative currency-translation effect. Q3 sales increased across all regions; for the nine-month period, Europe/Middle East sales declined while other regions increased excluding currency effects. Management cited higher volumes, favorable mix, lower material costs and cost controls behind improved operating performance.
For the first nine months, capital expenditures were $183.1 million, versus $188.1 million a year earlier. Operating cash flow less capital expenditures was approximately $41.0 million. Cash and cash equivalents were $511.0 million at September 30, 2020, up from $432.8 million at December 31, 2019.
Balance sheet and liquidity
- Total debt, including short-term borrowings and current maturities, was approximately $1.56 billion, compared with approximately $1.35 billion at year-end 2019. Long-term debt less current portion and issuance costs was $1.43 billion.
- Current assets were $3.94 billion and current liabilities $2.86 billion; working capital was $1.09 billion. The reported debt-to-capitalization ratio increased to 35.4% from 30.4% at December 31, 2019.
- Management reported $1.57 billion of available funding, comprising approximately $503.3 million unrestricted cash and $1.07 billion of borrowing capacity. It said the company was complying with its financial covenants and expected sufficient funding for the foreseeable future, subject to pandemic severity.
- AGCO paid $0.16 per share in Q3 dividends. It suspended share repurchases pending improved business visibility; $245 million remained authorized at quarter-end.
Material changes, outlook and risks
- COVID-19 and operations: Component shortages and facility closures disrupted production in the first half; affected European and South American plants resumed operations in late April, and Q3 production recovered. A North American facility suspended operations in October. Further disruption, workforce constraints or demand weakness could affect results.
- 2020 outlook: Management expected global farm-equipment demand to be relatively flat and AGCO net sales to decline marginally versus 2019, reflecting negative currency translation. Operating margins, excluding goodwill impairment charges in both years, were expected to improve on pricing, material costs and expense controls, partly offset by lower production. The filing gives no specific full-year sales or margin target.
- Unusual items: Nine-month results included a non-cash $20.0 million goodwill impairment related to a tillage and seeding equipment joint venture; approximately $10.0 million was offset through income attributable to noncontrolling interests. Q3 2019 earnings were depressed by a non-cash $53.7 million Brazilian deferred-tax valuation allowance.
- Currency and comprehensive income: Nine-month foreign-currency translation losses were $275.4 million. AGCO-attributable comprehensive income was $35.9 million, well below net income attributable to AGCO of $291.7 million.
- Contingencies and estimates: AGCO disputes a Brazilian tax assessment concerning goodwill amortization; the company said payment was not likely, but the outcome may take years. It reported $18.4 million of third-party debt guarantees and residual-value guarantees with a maximum potential payment of $66.8 million, against $23.7 million accrued. Warranty reserves were $438.4 million, up from $359.4 million a year earlier.
- Other exposures: Pandemic-related risks include weaker demand, supply interruptions, slower receivable collections, impairment or inventory write-downs, and pressure on finance-joint-venture earnings. AGCO also highlighted foreign exchange, commodity and farm-income conditions, and potential impairment risks. It reported no material change in market-risk exposure.
