AMETEK, Inc. — FY 2020 Form 10-K
Reporting period: Fiscal year ended December 31, 2020. This filing reports full-year results; it does not provide a separate Q4 summary. AMETEK manufactures electronic instruments and electromechanical products through Electronic Instruments (EIG) and Electromechanical (EMG).
Financial performance and liquidity
- Revenue: $4.540 billion, down 12.0% from $5.159 billion in 2019. Management attributed the decline mainly to pandemic-related weakness; organic sales fell 13%, with a 3% adverse effect from the Reading divestiture partly offset by 4% from acquisitions.
- Operating income and margin: $1.028 billion, down 12.7%; operating margin was 22.6%, compared with 22.8%. Segment operating income was $1.096 billion, down 12.6%.
- Net income and EPS: Net income was $872.4 million, up 1.3%, and diluted EPS was $3.77, up 0.5%; both were records. Results included a $109.6 million after-tax gain on the Reading sale and a $33.6 million after-tax charge for realignment costs.
- Segments: EIG sales were $2.990 billion, down 10.0%, with a 25.8% operating margin versus 26.0%. EMG sales were $1.550 billion, down 15.6%, with a 21.0% margin versus 21.1%.
- Cash flow: Operating cash flow was a record $1.281 billion, up 14.9%; free cash flow, a non-GAAP measure, was a record $1.207 billion versus $1.012 billion. Capital expenditures were $74.2 million.
- Debt and liquidity: Total debt, net, was $2.414 billion versus $2.769 billion in 2019; cash and cash equivalents were $1.213 billion versus $393.0 million. Net debt was $1.201 billion, and net debt to capitalization was 16.8%, down from 31.7%. The company reported $1.898 billion of available revolving-credit capacity, including the accordion feature, and compliance with debt covenants.
- Other metrics: EBITDA, a non-GAAP measure, was $1.422 billion versus $1.388 billion. The effective tax rate was 19.4%, compared with 19.5%. Dividends paid were $165.0 million; the quarterly dividend was raised to $0.18 in 2020 and to $0.20 effective February 2021.
Material changes and unusual items
- COVID-19 weakened demand across most end markets and geographies. Orders fell 12.3% year over year, while year-end backlog rose 4.9% to a record $1.802 billion.
- AMETEK recorded $43.9 million of realignment costs, principally workforce reductions and asset write-downs, including inventory. Substantially all actions were expected to be completed by mid-2021.
- The March 2020 sale of Reading Alloys generated $245.3 million in net cash proceeds and a $141.0 million pretax gain. IntelliPower was acquired for $116.5 million net of cash acquired; its reported 2020 impact was immaterial.
- Goodwill and other intangible assets totaled $6.849 billion, about 66% of total assets. Annual impairment testing found no impairment; reporting-unit fair values exceeded carrying values by 40% to 779% even under a hypothetical 10% fair-value decrease.
Outlook, risks and contingencies
- No specific sales or earnings guidance is provided. Management said orders had begun to return and stabilize in many markets, described the financial position as strong, and said it expected to emerge well positioned for long-term growth. It cautioned that the pandemic’s duration and ultimate impact could not be reasonably estimated.
- Capital expenditures in 2021 were expected to be approximately 2% of sales. The company expected $6 million to $10 million in worldwide defined-benefit pension contributions.
- Key risks include continuing pandemic effects, cyclical and capital-spending-sensitive end markets, supply disruption and commodity prices, foreign-currency and international regulatory exposure, cybersecurity, acquisition integration, and possible goodwill or intangible-asset impairment.
- Environmental reserves were $32.4 million at year-end. AMETEK reported a $6.8 million global settlement of El Cajon groundwater-related lawsuits, covered by previously established reserves and subject to court approval in two class actions. Management did not expect known legal or environmental matters to materially affect consolidated results, financial position, or cash flows.
- The auditor issued an unqualified opinion on the financial statements and internal controls. IntelliPower was excluded from the internal-control assessment as permitted for a newly acquired business.
Investor verification priorities
- Assess the durability of earnings and margins excluding the Reading gain and realignment charges; the filing does not provide a single adjusted earnings measure.
- Track recovery in orders and sales by segment, particularly pandemic-sensitive aerospace, oil and gas, and industrial markets, and compare it with the record backlog.
- Verify cash conversion and working-capital trends supporting record operating and free cash flow.
- Review debt maturities, revolving-credit availability, and planned acquisition and capital-allocation needs.
- Monitor assumptions behind goodwill and intangible-asset valuations, given their large share of total assets.
- Follow progress on realignment actions and resolution of environmental and litigation matters.
