- Revenue increased 24.8%. Real Estate revenue rose 31.6% to $121.1 million; Professional revenue rose 20.6% to $177.3 million. Growth reflected higher billed hours and bill rates.
- Gross margin improved 0.8 percentage points, while SG&A increased to 27.9% of revenue from 27.2%. Operating margin declined to 5.5% from 6.1%.
- Net income includes $14.1 million of income from discontinued operations, including a $17.7 million pre-tax gain on the Light Industrial business sale. Continuing-operations diluted EPS was $1.07, compared with $1.00 in 2021; total diluted EPS was $2.42 versus $1.35.
- At year-end, working capital was $48.0 million, including $66.3 million in accounts receivable; cash was zero. Total borrowings, net, were approximately $66.7 million, and total stockholders’ equity was $100.7 million.
- Cash used in investing activities was $8.9 million, including $33.9 million paid for Horn Solutions, partly offset by $30.7 million of Light Industrial sale proceeds. Capital expenditures were $5.7 million.
Material changes and notable items
- BGSF sold substantially all Light Industrial operations on March 21, 2022, for approximately $30.3 million cash at closing, subject to adjustments, plus $2 million deferred consideration. The segment is reported as discontinued operations.
- In December 2022, BGSF acquired Horn Solutions for approximately $42.7 million in cash, shares, and a two-year convertible note. The acquisition contributed about $1.4 million of revenue and no operating income in its three weeks included in fiscal 2022.
- The Horn acquisition was partly financed by a new $40 million term loan. At year-end, $40 million was outstanding on the term loan and $22.6 million on the revolving facility; the convertible note was $4.4 million. The company reported covenant compliance at year-end. Variable-rate borrowings expose earnings and cash flow to higher interest rates.
- Fiscal 2022 declared dividends totaled $0.60 per share. The board declared a further $0.15 per-share dividend in February 2023, subject to credit-agreement restrictions.
- Quarter four revenue was $77.3 million, versus $67.7 million a year earlier; continuing-operations income was $1.4 million, versus $4.3 million. Management said the extra fiscal week did not materially affect fiscal-year results.
Outlook, risks, and other disclosures
- Management expects cash from operations and revolving-credit availability to meet normal working-capital needs for at least the next 12 months, but says additional growth opportunities could require financing. No specific revenue or earnings guidance is provided.
- Working capital is structurally important: BGSF generally pays field talent weekly, while client payments arrive 30 to 90 days after billing. Continuing operating cash flow was negative in 2022, primarily reflecting payroll-related payments and working-capital changes.
- Key risks include economic and staffing-industry cyclicality, intense price competition, difficulty recruiting talent, client contracts terminable on short notice, client payment and credit risk, and workers’ compensation collateral and insurance needs. Texas accounted for 23% of continuing revenue and Tennessee 10% in 2022.
- The board approved a rebrand to BGSF, planned for completion by the end of the second quarter of 2023. The resulting $22.5 million trade-name impairment is expected to be recorded in 2023 and is noncash.
- The auditor gave an unqualified opinion on the financial statements and internal controls. Valuation of Horn Solutions’ acquired intangible assets was identified as a critical audit matter. Management reported effective disclosure controls and internal control over financial reporting. Management said pending legal matters were not expected to materially affect the consolidated financial statements.
- The CFO transition was announced after year-end: Dan Hollenbach planned to step down effective March 20, 2023, with John Barnett appointed as successor.
Important facts for investors to verify
- How much of fiscal 2022 net income and EPS reflects the one-time Light Industrial sale gain, rather than continuing operations?
- Whether operating cash flow improves as receivables and payroll-related working-capital needs evolve, and how much revolving-credit capacity is actually available.
- Horn Solutions’ post-acquisition revenue, profitability, integration progress, and the assumptions supporting its acquired customer-list valuation.
- The impact of the planned $22.5 million noncash trade-name write-off and rebranding costs on 2023 reported earnings.
- Debt service, variable interest rates, covenant headroom, and the ability to sustain dividends while funding working capital and growth.
