Product revenue was $457.6 million, up 8.4%; services revenue was $115.5 million, up 8.1%. Product gross margin declined to 43.1% from 44.0%, reflecting market price erosion partly offset by cost reductions. Services gross margin improved to 47.0% from 41.7%, attributed to service mix and operating efficiencies. Operating expenses included $16.9 million of intangible amortization, $1.3 million of acquisition and integration costs, and $0.4 million of restructuring costs.
Liquidity, debt and cash flow
At January 31, 2016, cash and cash equivalents were $660.3 million; short- and long-term investments totaled $335.1 million. Combined cash and investments were $995.4 million, down $25.8 million from October 31, 2015. Current assets were $1.751 billion and current liabilities $555.2 million. Balance-sheet debt carrying value was approximately $1.261 billion, including $2.5 million current and $1.258 billion long-term. The company reported no ABL borrowings; $64.5 million of letters of credit were supported by the facility.
Operating cash flow of $15.0 million included $61.0 million of net loss adjusted for non-cash items, offset by $46.0 million of working-capital use. Investing activities used $134.0 million, principally for securities purchases and equipment, furniture, fixtures and intellectual property. Financing activities used $8.2 million, including $14.6 million of long-term debt repayment. Cash and equivalents fell by $130.7 million, in part as funds shifted into investments.
The amended ABL facility commitment increased to $250 million, with maturity extended to December 31, 2020, subject to an earlier-maturity provision tied to a minimum-liquidity test before certain debt maturities. The required minimum unrestricted cash was reduced to $100 million. Management stated that available liquidity should meet working-capital, capital-expenditure and other needs for at least 12 months.
Changes, outlook and notable items
- Year-over-year growth, with regional weakness: North America revenue rose 18.5% and APAC 27.3%; EMEA fell 27.3% to $80.7 million. AT&T represented 22.1% of quarterly revenue, versus 19.1% in the prior-year quarter, and 13.2% of receivables at quarter-end.
- Segments: Networking Platforms revenue rose 8.6% to $449.5 million; Software and Software-Related Services rose 8.1% to $25.4 million but recorded a $3.6 million segment loss; Global Services rose 7.0% to $98.2 million. Cyan acquisition contributions supported growth.
- Sequential results: Revenue fell 17.2% from Q4 FY2015, which management attributed to seasonal customer procurement patterns and an unusually high prior-quarter volume of Cyan Z-Series sales, including sales tied to a customer’s government-supported funding programs. Net loss narrowed sequentially to $11.5 million from $13.8 million.
- Management outlook: Ciena expected FY2016 revenue to be adversely affected by anticipated EMEA sales declines and U.S. dollar strength. It expected operating expenses to increase versus FY2015, including from Cyan and the February 1, 2016 acquisition of certain TeraXion high-speed photonics assets, R&D investment, ERP re-engineering and facility transitions. The filing provides no clear numerical full-year revenue or earnings guidance.
- Unusual operating items: A $7.0 million inventory obsolescence provision primarily reflected lower forecast demand for certain Converged Packet Optical and Optical Transport products. The company recognized $4.4 million of foreign-exchange remeasurement losses and $4.6 million of losses on non-hedge-designated currency forwards. Currency movements reduced reported year-over-year revenue by an estimated $8.6 million, or 1.5%.
- Acquisitions and facilities: Ciena completed its Cyan acquisition in August 2015 and acquired TeraXion photonics assets for approximately $32 million cash on February 1, 2016. Ottawa campus construction costs capitalized under a build-to-suit arrangement were $29.0 million at quarter-end; facility transitions in Ottawa and India may add cost and operational disruption.
- Risks and contingencies: Customer and supplier concentration, service-provider capex constraints, competitive pricing, inventory forecasting, foreign exchange, debt, integration and Blue Planet market adoption are key risks. The filing describes Cyan-related shareholder and securities litigation and a stayed patent case; management did not expect ordinary-course claims to have a material financial effect. Disclosure controls were reported effective.
Investor verification priorities
- Track EMEA demand, customer capital spending and whether regional weakness persists; verify any subsequent numerical guidance.
- Assess customer concentration, especially AT&T exposure, and confirm receivables collection and the largest-customer balance.
- Monitor product gross margin, inventory provisions and demand forecasts, including discontinued Optical Transport products.
- Evaluate Cyan integration, Blue Planet adoption, segment profitability and the TeraXion asset acquisition’s costs and expected contribution.
- Review cash generation and working-capital movements alongside debt maturities, convertible-note dilution potential, ABL conditions and facility commitments.
- Follow currency effects, Ottawa and India transitions, and developments in the disclosed litigation.
