CEL-SCI Corporation — FY2013 Form 10-K
Reporting period: Fiscal year ended September 30, 2013. CEL-SCI is a development-stage biotech company with no product sales; its lead candidate, Multikine, is in a global Phase III trial for advanced primary head and neck cancer. Other programs include early-stage Multikine studies for HPV-related conditions and preclinical LEAPS candidates.

FY2013 included a $10.75 million gain from remeasuring derivative liabilities, primarily warrants, as their fair value fell with CEL-SCI’s share price. This noncash accounting gain reduced reported net loss; it does not indicate operating profitability. The filing reports no meaningful operating margin because the company had no product revenue.
Cash and cash equivalents were $41,612 at September 30, 2013, down $3.90 million year over year. Working capital was negative $1.03 million, versus positive $5.53 million a year earlier. Total assets were $10.84 million, total liabilities $4.14 million, and stockholders’ equity $6.70 million. The balance sheet included a $1.10 million related-party loan bearing 15% interest, secured by substantially all assets, and $433,024 of derivative liabilities. Operating lease commitments totaled $30.20 million.
Changes, developments, and outlook
- R&D expense rose $2.31 million year over year as the Phase III trial continued. Grant and other income declined $95,027, mainly because of the timing of shipments to the Taiwan partner. G&A rose $387,399, primarily due to employee option costs.
- The Phase III trial’s last reported enrollment update was 117 patients as of April 2013. After enrollment slowed under former CRO inVentiv, CEL-SCI replaced it with Aptiv Solutions and Ergomed and planned to add 60–80 sites. Ergomed agreed to provide up to $10 million in discounted trial services in return for limited milestone and royalty participation.
- Management estimated approximately $35.5 million of remaining cash costs for the Phase III trial, in addition to about $9.3 million spent through September 30, 2013. The estimate may increase with enrollment pace, foreign exchange, or other factors. Management said available capital was expected to support operations for more than 12 months, but further financing or partnering would be needed to complete development; failure to raise funds could delay or end the trial.
- After year-end, CEL-SCI raised approximately $16.4 million net in an October 2013 stock-and-warrant offering and approximately $2.71 million net in a December offering, plus about $379,000 from the December overallotment. These financings add liquidity but dilute shareholders and include warrants.
- The Phase III primary endpoint requires a 10% improvement in overall survival versus standard care alone. An independent monitoring committee’s November 2013 safety review identified no safety concerns warranting a change in the trial; efficacy has not been established. Multikine is investigational and is not approved for sale.
- In October 2013, CEL-SCI began arbitration against former CRO inVentiv, seeking at least $50 million; inVentiv counterclaimed for at least $2 million. The company said the proceedings were preliminary and their outcome could not be assessed.
- A 1-for-10 reverse stock split became effective September 25, 2013; share and per-share figures in the filing are retroactively adjusted. The company reported cumulative losses of approximately $212 million since inception and expects substantial losses to continue.
Key investor verification points
- Check current Phase III enrollment, site activation, trial timing, and whether the 10% overall-survival endpoint remains achievable.
- Reconcile current cash and financing runway against remaining trial costs, long-term lease obligations, and additional funding needs.
- Assess dilution from outstanding options, warrants, and post-year-end offerings; the filing reported approximately 5.2 million options and 9.9 million warrants outstanding at September 30, 2013.
- Track the inVentiv arbitration and counterclaim, including any changes in claimed damages or estimated exposure.
- Evaluate clinical evidence separately from management’s interpretation: Phase II results were from small samples, and safety observations do not establish efficacy or regulatory approval.
