Business, segments and material changes

  • Tech & Clearance revenue was $135.46 million, down 3.5%. Dice U.S. recruitment-package customers declined from approximately 7,600 to 7,050, while average monthly revenue per U.S. customer rose about 2% to $1,120.
  • Global Industry Group revenue was $63.60 million, down 18.8%. Rigzone fell 54.9% to $9.49 million amid persistently weak energy-sector demand; eFinancialCareers was also affected by currency and market conditions.
  • Healthcare revenue increased 4.6% to $27.07 million. ClearanceJobs also grew, while most other brands reported declines.
  • Corporate & Other revenue fell from $15.20 million to $0.85 million, principally reflecting the January 2016 sale of Slashdot Media. The sale generated $2.8 million cash plus working capital and a recorded $0.6 million loss.
  • Foreign exchange, primarily the U.S. dollar/sterling movement, reduced revenue by approximately $3.7 million year over year. The company reported 26% of FY 2016 revenue outside the United States.

Cash, liquidity and debt

  • Year-end cash was $22.99 million, down from $34.05 million. Cash from operations was $44.58 million; capital expenditures were $11.70 million.
  • Gross revolving-credit borrowings were $86.0 million, with $164.0 million available under the $250 million facility, which matures in November 2020. Debt net of deferred financing costs was $84.76 million on the balance sheet.
  • Management said cash, operating cash generation and available U.S. borrowing capacity should meet anticipated needs for at least 12 months. The company was in compliance with its covenants; leverage was 1.49x against a maximum of 3.0x, and interest coverage was 16.6x against a minimum of 3.5x.
  • Current assets were $70.18 million and current liabilities $108.30 million. Deferred revenue, a major current liability, was $84.62 million and represents advance customer payments for services to be delivered.
  • Cash used in financing was $44.21 million, including $29.57 million of share repurchases and $15.0 million of net debt repayment. The repurchase authorization expired December 31, 2016; no cash dividends had been paid.

Outlook, commentary and risks

  • Management announced a tech-focused strategy following a strategic review, prioritizing Dice, eFinancialCareers, ClearanceJobs and Brightmatter; plans include deeper Open Web integration, expanded next-generation recruiting products and investment in technology talent engagement.
  • The company began exploring strategic alternatives in the fourth quarter, with a financial adviser retained. Possibilities include a sale, merger, asset divestiture, partnership or continuing under the existing plan; there is no assurance of a transaction.
  • Management warned that slow recruiting activity in 2017 and beyond could pressure revenue and results. No specific financial guidance for FY 2017 is provided in the supplied filing text. Planned 2017 capital expenditures were approximately $11–13 million.
  • Persistent low oil prices drove a $24.6 million impairment of Rigzone goodwill and intangible assets in 2016, following a $34.8 million goodwill impairment in 2015. Finance and Hospitality goodwill fair values exceeded carrying values by 20% and 16%, respectively, at year-end, leaving exposure to future impairment if assumptions weaken.
  • Other key risks include competition and customer-renewal/attribution challenges, economic cyclicality, foreign-exchange exposure, Brexit-related uncertainty, privacy and data-transfer regulation, cybersecurity, and credit-agreement restrictions. The company did not hedge foreign-currency risk; a 1% increase in interest rates was estimated to raise 2017 interest expense by about $0.86 million.
  • Unusual tax effects included $5.28 million of income-tax expense despite a pretax loss, with a reported effective tax rate of negative 4,436.1%, largely reflecting nondeductible impairment and the tax cost of repatriating $16.4 million from Canada. Non-GAAP adjusted earnings excluding impairment were $16.39 million, or $0.34 per diluted share; these measures exclude specified charges and are not GAAP results.

Most important facts for investors to verify

  • Whether the strategic-alternatives review results in a transaction, and its terms, timing and costs.
  • Whether Dice customer losses and attribution/renewal issues stabilize, and whether the tech-focused plan produces measurable growth.
  • Whether energy, finance and hospitality conditions improve, and whether further goodwill or intangible-asset impairments occur.
  • Whether operating cash generation remains sufficient to fund investment, debt service and any capital returns, given lower cash and ongoing debt.
  • How currency movements, Brexit and evolving privacy rules affect foreign revenue, margins and compliance costs.
  • The sustainability of reported non-GAAP adjusted earnings and EBITDA relative to GAAP losses, cash flow and recurring costs.
