Revenue grew 16% in Q3 and 24% year to date. Management attributed growth to higher usage and ARPU, revenue from Cloudways and Paperspace, and expansion among Builders and Scalers. Q3 ARPU was $92.06, up 6% year over year; annual run-rate revenue was $713 million versus $641 million. Net dollar retention declined to 96% from 118%.

Gross margin contracted as data-center colocation, depreciation and acquired technology costs rose faster than revenue. Q3 operating income benefited materially from a $31.3 million reversal of previously recognized stock compensation related to the CEO’s market-based stock award. Q3 income-tax expense was $17.9 million, reflecting foreign-jurisdiction taxes and the inability to recognize U.S. tax benefits under a full valuation allowance.

Cash flow, liquidity and capital structure

  • Operating cash flow for the first nine months was $154.4 million, compared with $132.3 million a year earlier. Capital expenditures were $71.2 million, implying derived operating cash flow less capital expenditures of approximately $83.3 million; this is not a company-reported free-cash-flow measure.
  • Cash and cash equivalents were $79.4 million and marketable securities were $304.7 million at September 30, 2023. Current assets totaled $471.5 million against current liabilities of $184.3 million.
  • Long-term debt, consisting of 0% convertible notes due December 2026, had a carrying value of $1.476 billion and disclosed fair value of $1.148 billion. The $250 million revolving credit facility was undrawn; the company reported covenant compliance.
  • Management said existing cash, operating cash flow and credit availability should fund working capital, capital expenditures and commitments for at least 12 months.
  • The company spent $475.0 million repurchasing and retiring 13.9 million shares during the first nine months under its $500 million 2023 authorization; $25.1 million remained at quarter-end. Cash, cash equivalents and restricted cash declined $70.7 million from year-end 2022.

Material developments, outlook and risks

  • Restructuring: A February 2023 plan targeting a faster path to adjusted free cash flow margins above 20% involved workforce reductions and geographic shifts. It was substantially completed by Q3; nine-month restructuring charges were $20.9 million. The greater-than-20% margin figure is a stated objective, not quantified forward guidance in this filing.
  • Paperspace acquisition: Acquired in July for approximately $100.4 million to expand AI/ML offerings. Its preliminary allocation included $57.8 million of goodwill and $37.7 million of identifiable intangibles; purchase accounting remained incomplete. Paperspace contributed $2.8 million of revenue and a $9.5 million net loss from acquisition through quarter-end.
  • Leadership transition: The company announced a CEO succession plan in August. Yancey Spruill was to remain CEO until a successor was appointed, then leave the CEO and board roles. The company identified retention and succession execution as risks.
  • Controls: Disclosure controls were deemed ineffective because a material weakness in income-tax accounting controls remained. Prior tax errors had required adjustments, including material errors in the Q1 2023 financial statements. Remediation efforts were ongoing and had not yet been validated over a sustained period.
  • Litigation: A securities class action filed in September alleges materially false or misleading business statements concerning the period February 16–August 25, 2023. The company intends to defend the case; potential loss could not be estimated.
  • Other risks: Management cited macroeconomic uncertainty and competition, as well as execution risks around customer growth, acquisitions and product investment. The filing reported no material change in other previously disclosed risk factors.
