Segments and changes versus 2022

  • Utility Solutions: Sales rose 13.6% to $3,261.7 million; operating margin increased to 21.7% from 15.3%. Organic sales grew 11.7%, with price and modest volume gains. Utility Solutions represented 61% of 2023 sales.
  • Electrical Solutions: Sales increased 1.7% to $2,111.2 million; operating margin rose to 15.7% from 13.0%. Organic sales declined 0.5%, reflecting lower volumes, residential weakness and commercial channel inventory management. Industrial, renewables and data-center markets were strong.

  • Operating cash flow increased, while cash and cash equivalents declined to $336.1 million from $440.5 million. Investing cash outflow was $1,380.2 million, largely reflecting acquisitions. Dividends paid were $245.5 million; share repurchases were $30.0 million.

Debt, liquidity and balance sheet

Total debt was $2,140.6 million at year-end versus $1,442.6 million in 2022; net debt (non-GAAP) was $1,716.1 million versus $921.9 million. Debt to total capital rose to 43% from 38%. Hubbell borrowed $600 million under a variable-rate term loan and had $100 million of commercial paper outstanding, primarily to fund Systems Control. The term loan’s stated rate was 6.72% at year-end. Fixed-rate senior notes mature from 2026 through 2031.

Cash and investments totaled $424.5 million. The $750 million revolving credit facility was undrawn and fully available at year-end. Hubbell reported compliance with its 65% debt-to-capital covenant. Contractual purchase obligations were approximately $490 million for 2024.

Outlook, commentary and risks

  • The filing provides no specific consolidated sales, earnings or margin guidance for 2024. Management expects inflation to remain a factor and anticipates continued pricing actions, subject to market demand and conditions.
  • Restructuring and related costs are expected to continue in 2024; disclosed remaining costs for actions initiated through year-end were $11.7 million, including $8.9 million of GAAP restructuring costs.
  • Hubbell agreed to sell its residential lighting business for $131 million, subject to customary adjustments and regulatory approvals, with closing expected in Q1 2024. The business recorded $187.1 million in 2023 sales; management expected a $1–$10 million gain on sale.
  • Key risks include economic or end-market weakness, persistent inflation and inability to recover costs through pricing, commodity and supply-chain disruption, customer concentration (top ten customers were approximately 42% of sales), acquisition integration, and higher debt service and variable-rate exposure. Foreign operations accounted for approximately 8% of sales shipments directly to third parties.
  • Environmental, product-liability, intellectual-property and other legal matters arise in the ordinary course; recorded environmental liabilities were $6.7 million. Management stated it did not expect these matters to have a material adverse effect based on reserves and experience. No cybersecurity threats were reported as having materially affected, or reasonably likely to affect, the company; the filing cautions that incidents remain a risk.

Important facts for investors to verify

  • Whether Utility Solutions growth and margin performance persist, and whether Electrical Solutions volumes recover, particularly in residential and commercial markets.
  • Systems Control integration, acquisition synergies and the effect of acquisition amortization and financing costs on GAAP results and cash flow.
  • Completion and proceeds of the residential lighting sale, including the final gain or loss and treatment of the business after closing.
  • Debt reduction, interest expense and covenant headroom following the acquisition-related increase in leverage.
  • 2024 delivery of backlog, restructuring savings, capital spending and management’s response to continued inflation and market softness.

Audit note: The independent auditor gave unqualified opinions on the financial statements and internal control over financial reporting. Management and the auditor excluded the 2023 acquired businesses from the internal-control assessment; those businesses represented approximately 4% of assets excluding goodwill and intangibles and about 1% of 2023 sales.
