Insteel Industries Inc. — Q1 FY2024 Form 10-Q
Reporting period: First fiscal quarter ended December 30, 2023; unaudited results compared with the three months ended December 31, 2022. Insteel manufactures steel wire reinforcing products for concrete construction, including welded wire reinforcement and prestressed concrete strand.
Financial performance
| Metric | Q1 FY2024 | Prior-year quarter | Change |
|---|---|---|---|
| Net sales | $121.7 million | $166.9 million | Down 27.1% |
| Gross profit / margin | $6.3 million / 5.2% | $17.8 million / 10.7% | Gross profit down 64.7% |
| SG&A | $6.4 million / 5.2% of sales | $7.1 million / 4.3% of sales | Down 10.7% |
| Net earnings | $1.1 million | $11.1 million | Down 89.8% |
| Diluted EPS | $0.06 | $0.57 | |
| Operating cash flow | $21.8 million | $33.0 million | |
| Capital expenditures | $12.3 million | $8.2 million |
- Sales fell primarily because average selling prices declined 27.1%; shipments were relatively flat. Management attributed lower prices to competitive pressure and declining raw-material costs. Sales of welded wire reinforcement were $68.8 million versus $96.0 million; prestressed concrete strand sales were $52.9 million versus $70.9 million.
- Gross profit was pressured by an $11.0 million reduction in the spread between selling prices and raw-material costs, and $499,000 of higher manufacturing costs. Lower selling prices reduced the spread by $45.8 million, partly offset by lower raw-material costs of $34.6 million and lower freight expense of $201,000.
- SG&A declined, mainly due to lower compensation expense, partly offset by higher legal expense. Interest income rose to $1.7 million from $440,000, reflecting higher cash balances and interest rates. The prior-year quarter included a $3.3 million gain on sale of property, plant and equipment; current-quarter other income was $22,000.
- The effective tax rate was 27.2%, versus 22.9%, primarily due to discrete permanent book-tax differences related to stock-based compensation.
Cash, liquidity and capital allocation
- Cash and cash equivalents were $85.6 million at December 30, down from $125.7 million at September 30, 2023. Net working capital was $198.4 million. Total shareholders’ equity was $333.6 million.
- Operating cash flow of $21.8 million included a $16.3 million cash contribution from working capital, principally lower receivables and inventories, partly offset by lower payables and accrued expenses. Investing activities used $12.4 million, including $12.3 million of capital expenditures.
- Financing activities used $49.5 million, largely reflecting $49.2 million in dividends: a $48.6 million special dividend ($2.50 per share) and a regular quarterly dividend of $583,000 ($0.03 per share). The prior-year quarter included a $38.9 million special dividend and a $584,000 regular dividend.
- No revolving-credit-facility borrowings were outstanding. The $100 million facility had $96.7 million of availability and $1.5 million of outstanding letters of credit; it matures March 15, 2028. The company reported compliance with its covenants and no defaults. Total debt was zero.
- Management expects fiscal 2024 capital expenditures of up to approximately $30 million for productivity, modernization, engineered structural mesh growth and maintenance.
Outlook, risks and other notable items
- Management anticipates stronger market fundamentals and improving financial results in the remainder of FY2024. It cited mostly positive customer sentiment, an improving macroeconomic outlook and expected infrastructure demand from federal Infrastructure Investment and Jobs Act spending. This is management’s outlook, not quantified earnings guidance.
- The company plans to manage expenses and production to demand, pursue productivity improvements and seek growth opportunities, including opportunistic acquisitions. It expects investments in facilities to contribute gradually through lower costs and added capacity.
- Demand is seasonal and cyclical; shipments and profitability are usually higher in the third and fourth fiscal quarters and lower in the first and second. Key exposures include construction demand, steel wire-rod cost and availability, competitive pricing, customer ordering and inventory patterns, interest rates, trade policy and operational disruptions.
- Management said declining selling prices and competitive pressure negatively affected results while the company consumed higher-cost inventory. A 10% increase in wire-rod prices, without a corresponding selling-price change, would have reduced quarterly pretax earnings by $7.9 million, based on the period’s shipments and average costs.
- The company believes cash, operating cash flow and credit availability can meet anticipated requirements, including for the next 12 months. It cautioned that weaker construction markets and lower demand could require cuts to spending, suspension of dividends or delays/restrictions on repurchases.
- Ordinary-course lawsuits, claims and proceedings, including commercial, environmental and employment matters, were not expected to have a material adverse effect. No material changes to previously disclosed risk factors were reported. Disclosure controls were assessed as effective, with no material change in internal control over financial reporting reported.
Important facts for investors to verify
- Whether selling prices, shipment volumes and spreads stabilize or improve, and whether lower-cost inventory flows through cost of sales.
- Whether management’s expectation of stronger FY2024 markets and improving results is borne out by subsequent results and construction demand.
- Actual capital spending versus the stated up-to-$30 million FY2024 expectation and the returns from productivity and engineered structural mesh investments.
- Cash levels and capital returns after the large special dividend; future dividend and repurchase decisions remain subject to conditions and facility restrictions.
- Exposure to wire-rod price changes, competitive pricing and seasonal working-capital requirements; the filing does not quantify a full-year earnings outlook.
