Segments
Revenue and operating income rose notably in Automotive OEM and Food Equipment. Welding and Test & Measurement and Electronics had nearly flat revenue; the latter faced weakness in semiconductor and consumer electronics demand. Revenue declined in Polymers & Fluids, Construction Products, and Specialty Products. Food Equipment had the highest segment operating margin at 27.2%; Welding’s was 31.8%.
Liquidity, debt, and capital allocation
- Year-end cash and equivalents were $1.065 billion; the $3.0 billion revolving credit facility had no outstanding borrowings.
- Total debt was $8.164 billion, up from $7.763 billion. Total debt to EBITDA was 1.8, unchanged from 2022 (company-defined non-GAAP ratio).
- Net working capital was $1.560 billion, down from $1.810 billion. Inventory decreased by $347 million, contributing to improved operating cash flow.
- ITW paid $1.615 billion in dividends and repurchased $1.500 billion of shares in 2023. A new $5.0 billion repurchase authorization was announced; approximately $5.0 billion remained authorized at year-end.
- Interest expense increased to $266 million from $203 million, primarily due to higher interest rates.
Changes, outlook, and notable items
- Organic revenue grew 2.0%, with growth in five segments offset partly by declines in Specialty Products and Construction Products. Product line simplification reduced organic revenue by approximately 50 basis points.
- Reported net income and EPS were affected by the prior-year comparison: 2022 included approximately $197 million of pre-tax divestiture gains, or $0.60 per diluted share. Excluding that EPS benefit, 2023 diluted EPS increased 6.2% year over year.
- Operating cash flow improved as supply chains normalized and working-capital investment decreased. The company repaid notes due in May 2023 and entered into a €1.3 billion Euro term loan facility; $1.434 billion was outstanding at year-end, with a 4.59% rate. Management intended to exercise extension options.
- Management describes 2024–2030 as the company’s next strategic phase, emphasizing customer-back innovation, organic growth, and continued use of its 80/20 operating process. The filing provides no specific 2024 revenue or earnings guidance.
- Key risks include global economic weakness, foreign exchange, raw-material costs and availability, interest rates, execution of the growth strategy, cybersecurity, tax and regulatory changes, litigation, and pension assumptions. The company reported no material cybersecurity incidents in 2021–2023 and no material adverse effect expected from ordinary-course legal proceedings. It reported no significant off-balance-sheet commitments at year-end.
- Management reported effective internal control over financial reporting; the auditor gave unqualified opinions on the financial statements and internal controls. The auditor identified income taxes as a critical audit matter, involving judgment around tax expense and uncertain tax positions.
