Illinois Tool Works Inc. — Q1 2022 Form 10-Q
Reporting period: Three months ended March 31, 2022; comparisons are with Q1 2021 unless stated otherwise. ITW is a diversified global industrial manufacturer with seven reporting segments. Figures are in U.S. dollars; financial statement amounts are in millions except per-share data.
Financial performance
| Metric | Q1 2022 | Q1 2021 |
|---|---|---|
| Operating revenue | $3,939 | $3,544 |
| Operating income | $895 | $905 |
| Operating margin | 22.7% | 25.5% |
| Income before taxes | $861 | $865 |
| Net income | $662 | $671 |
| Diluted EPS | $2.11 | $2.11 |
| Operating cash flow | $323 | $609 |
| Free cash flow (company-defined, non-GAAP) | $249 | $541 |
Revenue rose 11.2%, including 10.6% organic growth, 2.8% from acquisitions/divestitures and a 2.2% negative foreign-currency effect. MTS Test & Simulation contributed $100 million of revenue. Six of seven segments had organic growth; Automotive OEM declined. Operating income fell 1.1%, while diluted EPS was unchanged. The effective tax rate was 23.1%, versus 22.4%.
Management attributed the 280-basis-point margin decline primarily to unfavorable price/cost (250 basis points), the MTS acquisition (70 basis points), and higher operating expenses; positive operating leverage (200 basis points) and enterprise initiatives (90 basis points) partly offset these pressures. Price/cost and expense effects reflect management’s estimates as presented in the filing.
Segment results
| Segment | Revenue Q1 2022 | Revenue change | Operating income Q1 2022 |

Automotive OEM faced customer production reductions tied to semiconductor and other component shortages. Segment revenue changes are reported changes, not organic growth rates.
Cash, debt and liquidity
- Cash and equivalents were $1.296 billion at March 31, 2022, down from $1.527 billion at year-end 2021. Net working capital was $2.824 billion, versus $2.904 billion.
- Total debt was $7.858 billion, compared with $7.687 billion at December 31, 2021; this included $1.041 billion of short-term debt, including $1.0 billion of commercial paper. The commercial-paper weighted-average rate was 0.51%.
- ITW had no borrowings under its $2.5 billion revolving credit facility, which expires September 27, 2024. Management said cash, operating cash generation and credit access were sufficient for debt service and capital-allocation priorities.
- Trailing-twelve-month total debt to EBITDA was 2.0x, a company-defined non-GAAP measure. Cash flow was pressured by increased receivables and inventory; management said inventory investment supported revenue growth and supply-chain risk mitigation.
- Q1 capital allocation included $382 million of dividends paid and $375 million of share repurchases. The 2018 repurchase program was completed; $2.9 billion remained authorized under the 2021 program at quarter-end.
Management outlook, risks and notable items
- The filing provides no specific full-year revenue, earnings or cash-flow guidance. Management described continued execution of its enterprise strategy and focus on organic growth, customer-back innovation and operational improvement.
- Management restarted the divestiture process in 2022 for certain businesses with approximately $0.5 billion in combined annual revenue, subject to Board approval.
- Key uncertainties include COVID-19 effects, supply-chain disruptions and shortages, raw-material and energy cost inflation, foreign-currency movements, market conditions, and the effects of the Russian invasion of Ukraine and related sanctions. Sales to Russian customers were less than 1% of consolidated revenue and were described as immaterial to results and financial position.
- The MTS Test & Simulation acquisition was completed in December 2021 for a purchase price of $750 million, subject to closing adjustments. Purchase-price allocation remained in progress; the filing reported $429 million of goodwill and $258 million of intangible assets based on the updated allocation.
- Tax authorities had ongoing audits. ITW said unrecognized tax benefits could decrease by approximately $51 million within 12 months, primarily depending on resolution of examinations; this is an estimate, not a confirmed benefit.
- No legal proceedings were reported in this filing, and ITW reported no material changes to the risk factors in its 2021 Form 10-K. Management concluded disclosure controls were effective as of March 31, 2022.
