  • Margins and segments: Electronic-instruments gross margin was 55.5% in Q3 and 53.6% for the nine-month period, versus 41.0% and 40.6%, respectively, in 2022; management attributed improvement to product mix. The segment generated pretax operating income of $70 in Q3 and $164 year to date, compared with losses of $39 and $53. Merchant investment reported operating income of $223 in Q3 and $390 year to date, primarily reflecting interest income.
  • Cash flow: Nine-month operating cash flow was $454, versus cash used of $831 in 2022. Investing activities provided $18,816, primarily reflecting sales of marketable securities and $1,869 of cash from consolidation of LGL Systems. Cash and cash equivalents increased $19,270 to $40,777.
  • Liquidity and debt: Current assets were $41,502 and current liabilities $611 at September 30; working capital was $40,891 and the current ratio was 67.92 to 1. Total liabilities were $1,303. No borrowing or debt balance is separately reported in the balance sheet; other liabilities were $692.
  • Assets and equity: Total assets were $41,822 and total equity $40,519, including $1,894 of non-controlling interests. Marketable securities were $22, down from $16,585 at year-end 2022, as substantially all investments were moved into Treasury money-market funds.

Material changes and management outlook

  • LGL’s return to profitability versus 2022 mainly reflects higher interest income and substantially smaller investment losses. Prior-period earnings were also affected by MtronPTI discontinued operations: income of $488 in Q3 2022 and $1,753 for the first nine months of 2022.
  • At September 30, LGL held approximately $37.8 million in cash, cash equivalents and marketable securities; approximately $22.9 million was held directly by Lynch Capital for merchant-investment activities. Cash and cash equivalents included $32.1 million managed by a related-party fund manager.
  • Electronic-instruments backlog was $313 at September 30, down 13.1% from December 2022 but up 144.5% from September 2022. Management says most backlog typically ships within 90 days.
  • Management expects existing cash, securities and operating cash generation to meet working-capital and capital-expenditure needs for at least the next 12 months. The filing gives no earnings or revenue guidance. Management noted that higher interest rates benefit Treasury-fund income, while inflation and rising rates may increase manufacturing and administrative costs.
  • The filing reports no material pending legal proceedings beyond routine matters and no asset-impairment triggering event. It describes ordinary-course litigation and claims as contingencies. Disclosure controls were considered effective, with no material quarterly change in internal control over financial reporting.

Important facts for investors to verify

  • How sustainable earnings are given the importance of interest income and investment gains or losses, and the comparatively small manufacturing business.
  • The valuation, liquidity and risk profile of investments, including the related-party fund-manager arrangement and its fees.
  • The LGL Systems consolidation judgment, the related-party affiliations disclosed, and how the 34.8% LGL ownership relates to control and non-controlling interests.
  • Whether backlog converts to shipments and revenue, and whether improved product mix and margins persist.
  • Potential impacts of inflation, interest-rate changes, and any litigation or other contingencies; the filing provides no quantified material contingency exposure.
