Material changes versus FY2019
- Revenue declined as the business mix shifted and marketing-services revenue contracted; strong LVB GMV growth did not offset the decline in other business activity.
- Goodwill impairment of RMB1,382.1m was recorded following weaker-than-forecast results and business-model repositioning. Year-end goodwill was RMB186.5m, down from RMB1,568.7m.
- Intangible-asset amortization increased 70.0% to RMB331.3m, including amortization associated with the Tencent cooperation agreement and a broadcasting license.
- Investment results moved from a RMB31.2m gain to a RMB66.6m loss. MOGU fully impaired its remaining JM Weshop investment after that venture ceased operations in December 2019; the company also recorded a RMB114.1m share of equity-investee losses.
- Cash and cash equivalents declined by RMB420.1m, while operating cash outflow remained substantial. The allowance for loan receivables increased to RMB23.2m from RMB4.6m.
Outlook, risks and unusual items
- Outlook: No numerical revenue, earnings or cash-flow guidance is provided. Management said existing cash and short-term investments were expected to cover working capital and capital expenditures for at least 12 months. It said the duration and financial effects of COVID-19 beyond FY2021 could not be reasonably estimated.
- COVID-19: The pandemic disrupted deliveries and reduced consumers’ willingness to buy fashion products, traffic and transaction volume. MOGU cut sales and marketing spending and optimized headcount, including in research and development.
- Business execution and concentration: The current KOL/LVB model had a limited operating history. The top 10 KOLs generated 23.2% of FY2020 GMV, versus 8.1% in FY2019. MOGU also relies on Tencent for traffic, payment, cloud and other services.
- Regulatory and corporate structure: Operations include PRC variable-interest entities controlled through contracts rather than direct equity ownership. The filing notes uncertainty about PRC regulation, including the implications of the Foreign Investment Law, licenses and data rules.
- Financial reporting controls: Management concluded disclosure controls and internal control over financial reporting were ineffective at March 31, 2020 because of a material weakness: insufficient personnel with appropriate U.S. GAAP and SEC-reporting expertise. Remediation was not complete. The auditor did not attest to internal-control effectiveness.
- Audit and listing risk: The auditor issued an unqualified opinion on the financial statements, but the filing warns that the PCAOB could not inspect the auditor’s work in China at the time, limiting investor oversight.
- Other notable matters: MOGU repurchased 10.46m ordinary shares for RMB6.6m during FY2020 and authorized a further buyback of up to $10m in May 2020. It does not expect to pay dividends in the foreseeable future. Qi Chen held approximately 79.1% of voting power through the dual-class structure.
Most important facts for investors to verify
- Whether revenue and total GMV stabilize, and whether LVB growth can translate into sustained revenue and improved margins.
- Whether cash consumption, loan-credit losses and available liquidity remain consistent with management’s 12-month sufficiency assessment.
- Whether further goodwill or intangible-asset impairments are required, given the limited headroom in the FY2020 annual goodwill test.
- Whether the material weakness in financial reporting controls is remediated and whether future filings remain reliable.
- Whether KOL concentration, Tencent dependence, COVID-19 effects and PRC VIE, licensing and data-regulation risks change materially.
