Material changes versus FY2021

  • Cloud solutions and subscription revenue increased 25.3% to $36.9 million, supported by brand demand and growth in paid app subscribers. Licensing revenue declined 4.8% to $8.4 million, while advertising revenue fell 24.1% to $1.8 million.
  • Revenue from brands rose, but its share of total revenue declined from 65.5% to 61.8%; mobile-app subscriber revenue increased to 34.3% of revenue. Average app MAUs fell from 25.1 million to 17.8 million, while average monthly active subscribers grew from 0.35 million to 0.49 million.
  • General and administrative expense increased to $76.2 million, principally reflecting the transaction and listing costs. The non-cash loss on financial liabilities at fair value declined to $93.8 million from $150.7 million in FY2021, but remained a major contributor to the reported net loss.
  • Cash rose following the transaction, although 94.14% of Provident shares eligible for redemption were redeemed for approximately $216.8 million. The company reported $119 million of gross proceeds from non-redeeming shareholders, PIPE and forward-purchase investors, and $113 million of net proceeds added to the balance sheet.

Outlook, risks and unusual items

  • Management gave no numerical revenue or earnings guidance. It said the sales cycle lengthened in the second half of 2022 and expected 2023 to remain challenging amid inflation, currency volatility and geopolitical tensions, while expressing confidence in long-term growth.
  • Management plans to deepen relationships with major beauty groups, reach more indie brands, expand into fashion and other verticals, develop products and technology, and pursue selective partnerships or acquisitions. These plans carry execution and investment risks.
  • Key risks include dependence on a limited number of brand partners and app-store platforms; privacy, data-security and cybersecurity exposure; competition and changing consumer engagement; reliance on cloud-service providers; and Taiwan-related geopolitical and foreign-exchange risks. The YouCam Makeup app remained banned in India. The company suspended its immaterial NFT business indefinitely in August 2022.
  • The company disclosed material weaknesses in financial-reporting controls, including insufficient Section 404 documentation and weaknesses in controls for complex accounting. Management said remediation was underway; disclosure controls were assessed as ineffective at December 31, 2022. The auditor did not provide an internal-control attestation in this filing.
  • Perfect reported no current legal proceeding expected to have a material adverse effect and no significant contingent liabilities in the financial-statement notes. It does not intend to pay dividends in the foreseeable future.

Most important facts for investors to verify

  • Whether subscription and brand revenue growth continues, and whether the declining MAU trend affects app monetization or customer engagement.
  • How much of the reported loss is transaction-related or non-cash, and whether adjusted profitability translates into sustained positive operating cash flow.
  • Cash availability, future spending and liquidity needs, including any restrictions on moving funds from Taiwan subsidiaries.
  • Progress in remediating internal-control weaknesses and whether future filings report effective controls.
  • Potential dilution and selling pressure from outstanding warrants, equity awards, earnout shares and registered securities available for resale.
