PSQ Holdings, Inc. annual report, FY2023

PSQ Holdings, Inc. (PublicSquare) — FY2023 Form 10-K

Reporting period: Fiscal year ended December 31, 2023; filed March 14, 2024. This is an annual report, not a standalone fourth-quarter report. Unless stated otherwise, financial comparisons are FY2023 versus FY2022.

Business context

PSQ operates a free-to-use marketplace connecting consumers with businesses that affirm its stated values. Revenue comes primarily from marketplace advertising and, beginning in 2023, EveryLife diaper and wipe sales. The company launched marketplace e-commerce in November 2023. At year-end, it reported more than 1.6 million active consumer accounts and 75,000 business members. FY2023 results include the launch of EveryLife and the July 2023 business combination that made PSQ publicly traded, so the periods are not fully comparable.

Operating costs rose substantially: general and administrative expense was $15.22 million, sales and marketing $12.10 million, research and development $4.63 million, and business-combination transaction costs $6.85 million. The net loss included a $14.57 million non-cash charge from the fair-value change in convertible notes and a $1.31 million warrant-liability charge, partly offset by a $1.74 million gain from the earn-out liability fair-value change.

At December 31, 2023, cash and cash equivalents were $16.45 million, current assets $21.17 million, current liabilities $4.01 million, and net working capital $17.17 million. The $22.5 million of 5% convertible notes issued in 2023 converted to equity at the July business-combination closing; no outstanding note principal is shown on the year-end balance sheet. Operating cash burn increased year over year. Cash was funded in part by $22.5 million of note proceeds and $18.1 million of net business-combination proceeds.

Changes, outlook, and significant items

  • Management said operating expenses are expected to increase in absolute dollars as PSQ invests in the platform, marketing, product development, e-commerce, and D2C offerings. It provided no specific revenue, earnings, or cash-flow guidance.
  • Management believed cash and short-term resources, together with subsequent financing and the Credova acquisition, would fund operations and capital needs for at least one year from issuance of the financial statements. Future financing may still be needed, and availability on acceptable terms is not assured.
  • After year-end, PSQ completed the March 13, 2024 Credova acquisition, issuing 2,920,993 Class A shares. Certain Credova subordinated debt was exchanged for PSQ replacement notes bearing 9.75% simple interest with ten-year maturities; the filing cites approximately $9 million of indebtedness associated with the acquisition. Purchase accounting was incomplete at filing. Credova’s results are not included in FY2023.
  • Also after year-end, a board member and affiliates agreed to invest $10 million in a 9.75% convertible note; funds were held in escrow and issuance of underlying shares was subject to stockholder approval.
  • Key risks include persistent losses and cash burn, possible need for additional capital and dilution, intense competition, advertiser and user retention, privacy and cybersecurity obligations, and regulatory and credit risks related to Credova’s consumer-finance/BNPL business.
  • Management identified a material weakness in internal control over financial reporting as of December 31, 2023; disclosure controls were deemed ineffective. The weakness had required a restatement of the third-quarter Form 10-Q. Management described remediation plans, but did not establish that remediation was complete.
  • The company reported no legal proceedings expected to have a material adverse impact. It also disclosed a one-year $1 million advertising commitment, of which $166,667 had been paid by year-end, and approximately $15 million of cash above FDIC insurance limits.

Most important facts for investors to verify

  • Whether revenue growth and gross-margin improvement can continue, particularly as e-commerce and EveryLife scale, and whether growth converts into lower cash burn.
  • The detailed cash runway after the Credova transaction, note exchange, and $10 million convertible-note investment, including stockholder approval conditions and debt service.
  • Credova’s acquired financial position, credit losses, cash generation, merchant concentration, and exposure to lending, BNPL, and product-related regulation.
  • Progress and independent validation of remediation of the material weakness and the circumstances behind the Q3 restatement.
  • Potential dilution from acquisition shares, convertible notes, equity awards, warrants, and earn-out shares; the founder’s Class C shares retain majority voting control.
