Q2 revenue rose 19.3%; six-month revenue rose 15.6%. Common-stock net income increased 88.5% and 51.1%, respectively. Q2 gross margin declined year over year, while operating margin improved, helped in part by lower intangible amortization, including Blattner backlog amortization that ended in 2022. Six-month operating cash flow fell despite higher earnings, reflecting working-capital investment, including receivables and contract assets.
At June 30, 2023, cash and cash equivalents were $362.0, total debt obligations were $4,257.8 (versus $3,729.9 at December 31, 2022), and available credit commitments plus cash were $1,772.6. Quanta reported compliance with its credit-facility financial covenants. The six-month weighted-average interest rate was 6.22% on senior credit facility borrowings; commercial paper outstanding was $699.2 at a 5.95% weighted-average rate at quarter-end.
Material changes and operating trends
- Segment revenue, Q2 year over year: Electric Power $2,415.3 (+9.8%); Renewable Energy $1,389.4 (+50.3%); Underground and Infrastructure $1,244.0 (+12.2%). All three segments grew.
- Segment margins: Q2 Electric Power margin was 10.1% versus 10.6%; Renewable Energy was 8.0% versus 8.8%; Underground and Infrastructure was 8.6% versus 8.1%. For the six months, Renewable Energy operating income declined 3.6% despite revenue growth, while the other segments’ operating income increased.
- Demand and backlog: Management cited utility grid modernization, reliability and hardening work; renewable generation and interconnection projects; gas utility modernization; and Canadian pipeline work. Remaining performance obligations were $12.48 billion, up 41.8% from year-end 2022; reported backlog was $27.20 billion, up 12.9%.
- Acquisitions: Three U.S. businesses were acquired in January 2023. Consideration was approximately $463.5 million cash and $123.5 million in Quanta shares. The acquired businesses contributed $236.6 million of revenue for the first six months; purchase-price allocations remained subject to finalization.
Outlook, risks and unusual items
- Management expects strong demand to continue and said solar-panel supply and sourcing challenges are expected to improve through the remainder of 2023. It also expected lower-than-planned Canadian Electric Power resource utilization to continue through the rest of the year, and described Renewable Energy fixed-cost absorption as a headwind ahead of expected higher activity in the second half of 2023 and 2024. The filing provides no clear numeric earnings or revenue guidance.
- Quanta recognized $745.1 million of revenue related to change orders and claims, primarily recorded in contract assets; the largest portion related to a Canadian renewable transmission project. That project incurred a further $20.7 million negative cost-estimate impact in the first half. Changes in project estimates, collection timing and customer approval could affect revenue, margins and cash flow.
- One customer associated with the Canadian project represented 15% of consolidated receivables at June 30. Contract assets rose to $1,357.2 million from $1,080.2 million at year-end, and accounts receivable rose to $4,075.2 million from $3,674.5 million.
- Quanta’s Peru project dispute remains contingent: an ICC tribunal awarded Redes approximately $177 million, but enforcement and legal challenges remain pending. Quanta has received $107.2 million from insurers and has not recognized a current-period gain on the award; amounts collected may require repayment to insurers. A separate investment-treaty arbitration decision was expected in the first half of 2024.
- Other disclosed exposures include a California wage-and-hour case with a possible loss of up to approximately $26.8 million plus potential fees, interest and expenses if Quanta is unsuccessful and staffing agencies cannot pay; and wildfire and explosion-related litigation for which the company had not recorded an accrual or estimated a reasonably possible loss range. The filing says outcomes and insurance coverage remain uncertain.
- Other unusual comparisons include a $41.7 million Q2 2022 unrealized investment loss related to Starry, which filed for bankruptcy in 2023, and a favorable six-month 2023 tax-rate impact from $32.4 million of equity-award vesting tax benefits. Higher interest rates increased financing expense.
Most important facts for investors to verify
- Whether backlog and remaining performance obligations convert to revenue on expected schedules, particularly the portion based on MSAs and estimates rather than firm fixed-price orders.
- Collection, customer approval and profitability of the Canadian project’s change orders and claims, and the related receivable concentration and working-capital demands.
- Cash conversion and working-capital trends: operating cash flow was $165.8 million for the first half, down from $203.8 million a year earlier.
- Debt, borrowing costs and liquidity as rates and funding needs change; total debt rose while acquisition spending was substantial.
- Progress and potential financial effects of the Peru proceedings and the other disclosed legal, wildfire and explosion contingencies.
- Segment margin recovery, especially Renewable Energy cost absorption and Electric Power utilization in Canada, alongside the expected improvement in solar supply conditions.
