Changes, outlook, and risks
- Revenue increased 38.0%; gross margin improved 2.8 percentage points. Net loss widened by $11.3 million, while adjusted EBITDA loss narrowed by $3.6 million.
- Operating expenses rose to $108.5 million from $74.6 million. Research and development expense grew 50.7% to $32.5 million; total stock-based compensation increased to $12.6 million from $7.4 million.
- Acquisition-related costs were $6.3 million, mainly milestone and retention compensation tied to the 2015 Centrix and Social Money acquisitions. Amortization of acquired intangibles was $1.5 million in operating expenses, in addition to acquired-technology amortization in cost of revenue. Goodwill impairment was not recorded.
- Management plans continued investment in sales, product development, customer support, and infrastructure. It expects costs to rise in absolute dollars, with potential margin improvement over time from scale and operating leverage. Q2 stated it expected losses for the foreseeable future; the filing provides no specific revenue or earnings guidance.
- Key risks include cybersecurity incidents or service outages, dependence on third-party data centers and integrations, intense competition and pricing pressure, regulatory and privacy compliance, implementation delays, customer consolidation, and the challenge of managing rapid growth. Management identified meaningful exposure to customers in Texas and other energy-dependent regions.
- Q2 had $129.5 million of federal net operating loss carryforwards, subject to possible ownership-change limitations, and maintained a full valuation allowance against deferred tax assets. The company planned to adopt the new revenue standard in 2018 using the modified retrospective method and was evaluating its effect.
- Management reported effective disclosure controls and internal control over financial reporting; the auditor issued unqualified opinions on the financial statements and internal controls. Management said no pending legal proceeding was expected to have a material impact.
Investor verification priorities
- Confirm the April 2017 credit-facility maturity, renewal or replacement, and continued covenant compliance.
- Track conversion of registered-user and transaction growth into recurring revenue, and monitor retention, churn, and implementation timing.
- Assess whether margin gains can continue as R&D, sales, support, infrastructure, and stock-based compensation spending increases.
- Review the Centrix milestone and retention payments, acquisition integration, and the $2.5 million Social Money holdback.
- Evaluate cybersecurity, third-party hosting and core-system integration risks, as well as customer and geographic concentration.
- Monitor adoption impacts from the 2018 revenue-recognition standard and the realizability of tax carryforwards.
