Changes, outlook and notable items
- Compared with Q2 2013, revenue and gross margin improved, while net loss widened. First-half operating cash flow also shifted from positive to negative, partly reflecting increased implementation and solution costs, payments of accrued liabilities and IPO-related expenses.
- Management expects continued investment in sales, marketing, product development, implementation, customer support and infrastructure. It expects costs and operating expenses to rise in absolute dollars, and states it does not expect profitability for the foreseeable future. It anticipates possible long-term margin improvement from scale and operating leverage, but provides no specific financial guidance in the filing.
- Management cautions that quarterly results may fluctuate due to customer implementation timing, sales cycles, customer usage, investment levels and seasonality; first-quarter sales may be lower. Subscription revenue is generally recognized over customer contract terms, averaging more than five years initially.
- On July 18, 2014, the company signed a lease for approximately 70,000 square feet adjacent to its headquarters. Initial occupancy was anticipated for June 2015; the lease term is 124 months, with monthly rent starting at approximately $98,000 and escalating to approximately $160,000 near the end of the term.
- On August 11, 2014, the credit facility was amended to permit, subject to conditions, up to $25 million of additional borrowing capacity and to modify or eliminate certain covenants and fees.
- Key risks include cybersecurity or service outages, regulatory and data-privacy compliance, reliance on third-party data centers and integrations, competition and customer concentration in financial services, implementation delays, continued losses, and potential share sales following IPO lock-up expiration. No material pending legal proceedings were reported. Disclosure controls were deemed effective as of June 30, 2014.
