RENTOKIL INITIAL PLC annual report, Q4 FY2023

Rentokil Initial plc — FY2023 Form 20-F

Reporting period: Year ended 31 December 2023; this is an annual report, not a standalone Q4 filing. Financial statements are prepared under IFRS as issued by the IASB and UK-adopted IFRS. Amounts below are in pounds sterling unless stated otherwise.

Business context

Rentokil Initial provides route-based pest control, hygiene and wellbeing, and workwear services across 77 countries. The 2023 results include a full year of Terminix, acquired in October 2022, so reported year-over-year growth is not directly like-for-like. The Group acquired 41 businesses during 2023.

  • Revenue increased approximately 45%; operating profit rose approximately 97%, and profit for the year increased approximately 64%. Acquisition effects, especially Terminix, materially affect comparability.
  • Approximate reported operating margin was 11.6% (2022: 8.5%); adjusted operating margin was 16.7% (2022: 15.4%); and net margin was 7.1% (2022: 6.2%). Adjusted operating profit is a non-IFRS measure.
  • Finance costs increased to £189m from £79m, reflecting higher interest and debt-related costs. Income tax expense was £112m, with a reported effective tax rate of 22.7%.
  • Operating cash flow was £737m. Investing cash outflow was £416m, including £242m for acquisitions; financing cash outflow was £361m. Cash and cash equivalents on the balance sheet were £1,562m, but cash net of overdrafts in the cash flow statement was £832m.
  • Liquidity headroom was £1,603m, comprising £818m unrestricted cash and £785m available under the undrawn revolving credit facility. The Group reported £3,146m net debt and investment-grade BBB ratings from S&P and Fitch.
  • Current assets exceeded current liabilities by £118m, down from £398m in 2022. Proposed 2023 final dividend was 5.93p per share; together with the 2.75p interim dividend, this implies 8.68p for the year, subject to shareholder approval of the final dividend.

Material changes, outlook and risks

  • North America generated £3,306m revenue and £617m operating profit, up from £1,849m and £315m respectively in 2022; the region’s results reflect the acquisition and integration of Terminix. Europe (including LATAM) revenue was £1,081m and operating profit £215m.
  • Acquisition consideration for 2023 businesses was £261m; net acquisition cash outflow was £242m. Terminix-related goodwill remains significant: total goodwill was £5,016m, including £2,744m assigned to the U.S. Terminix cash-generating unit. Goodwill impairment charges were £3m in 2023.
  • One-off and adjusting items were £98m, compared with £136m in 2022. The filing’s detailed financial outlook and selected guidance are incorporated from the Annual Report, with some specific outlook disclosures expressly excluded from this Form 20-F; this text does not provide a clear full-year 2024 revenue or earnings forecast.
  • Management states that forecasts show adequate liquidity for at least 12 months after approval of the statements. Under its most severe modeled downside scenario—a 20% revenue decline for 12 months plus a £200m cash loss—minimum headroom was approximately £1bn before potential mitigating actions.
  • Key exposures include Terminix integration and acquisition execution, inflation and wage/fuel costs, competition and customer retention, cyber and IT disruption, foreign exchange and interest rates, regulatory and pesticide compliance, and termite damage claims. The termite claims provision was £260m at year-end; a 5% change in estimated claim values or claim rates would change the provision by about £15m, and a 1% change in customer churn assumptions by about £11m.
  • The independent auditor gave an unqualified opinion on the financial statements, but concluded that internal control over financial reporting was not effective at 31 December 2023 because of a material weakness in IT general controls. Management says the separate weakness concerning technical accounting resources and procedures was remediated; IT-control remediation remained in progress.
  • Seven cyber incidents were reported in 2023; one caused an immaterial transfer of funds to attacker-controlled accounts, and the company says all incidents were addressed through its response protocol. The filing also identifies possible future termite litigation, environmental liabilities, and goodwill impairment as risks.
  • 2022 comparative figures were retrospectively adjusted for measurement-period changes relating to the Terminix acquisition. The filing also describes earlier financial-statement restatement/revision matters; investors should consider these alongside the continuing IT-control weakness.

Most important facts for investors to verify

  • Separate acquisition-driven growth from organic and comparable revenue, profit, and margin trends, particularly in North America.
  • Review the Terminix integration progress, synergy realization, customer retention, and the valuation assumptions supporting its goodwill.
  • Track the £260m termite claims provision, claims costs and trends, and any developments in litigation or regulatory claims.
  • Confirm progress and independent testing of IT-control remediation, and assess the implications of the auditor’s adverse internal-control opinion.
  • Reconcile net debt, cash net of overdrafts, available liquidity, debt maturities, and rising finance costs; assess dividend affordability against cash generation.
  • Review the complete Annual Report disclosures for formal 2024 guidance, organic growth, free cash flow, and any other comparable-period measures not clearly provided in this Form 20-F text.
