Second-quarter revenue declines were led by truck brokerage, down $198 million, and freight forwarding, down $36 million. Truck brokerage revenue per load declined 33%, partially offset by a 10% increase in load volume. Six-month truck brokerage load volume increased 8% while revenue per load also declined 33%.

Second-quarter cost of transportation and services was 75.1% of revenue, versus 73.7% in the prior-year quarter. Direct operating expense was 6.1% of revenue versus 4.6%, and SG&A was 15.0% versus 13.5%, reflecting deleverage from lower revenue, higher compensation-related costs and incremental standalone public-company costs. Interest expense was $8 million in the quarter and $16 million for the six-month period, compared with none in the prior-year periods.

At June 30, 2023, cash and cash equivalents were $124 million, accounts receivable were $743 million and total assets were $1.912 billion. Total debt and finance lease obligations had a $463 million principal balance and $455 million carrying value, consisting primarily of a $100 million term loan and $355 million of 7.50% notes due 2027. The $500 million revolving credit facility was undrawn. RXO reported compliance with its debt covenants.

Material Changes Versus the Prior Comparable Period

  • Revenue decreased substantially because of lower transportation market rates, fuel prices, length of haul, freight mix and lower ocean rates and volumes.
  • Operating and net margins contracted sharply as transportation costs and fixed or semi-fixed expenses deleveraged against lower revenue.
  • Operating cash flow declined by $111 million to $66 million for the six-month period. The decrease reflected lower net income and working-capital changes associated with reduced revenue and third-party transportation costs.
  • Transaction and integration costs declined to $4 million in the second quarter and $10 million year to date, compared with $18 million and $21 million, respectively, primarily reflecting lower spin-off-related costs.
  • Restructuring costs increased to $9 million year to date from $3 million, primarily due to severance. The remaining restructuring liability was $5 million at June 30, 2023.
  • Accounts receivable declined $157 million and accounts payable declined $69 million from December 31, 2022, primarily due to lower activity levels.
  • RXO repurchased 100,000 shares for $2 million at an average price of $20.53. The company had $123 million remaining under its $125 million repurchase authorization.

Outlook, Risks, Contingencies and Unusual Items

Management stated that existing liquidity and capital sources are sufficient to support operations for the next 12 months. Capital expenditures were $28 million during the first six months, compared with $24 million in the prior-year period, and are expected to support technology, equipment and real estate.

The filing does not provide specific quantitative earnings or revenue guidance. Management highlighted exposure to economic recession, inflation, interest rates, fuel, wages, labor markets, transportation demand, pricing competition, freight rates, foreign currency and potential future COVID-19 impacts.

RXO is involved in various legal proceedings, including transportation claims, commercial and employment matters, and class or collective actions alleging that certain delivery workers should have been classified as employees rather than independent contractors. RXO indemnified XPO for certain liabilities related to last-mile misclassification claims. The company believes the matters are without merit, but cannot estimate any possible loss or range of loss. An unfavorable resolution could materially affect results, financial condition or cash flows.

Approximately $136 million of fixed remaining performance obligations existed at June 30, 2023, with approximately 99% expected to be recognized over the next three years. The filing states that disclosure controls and procedures were effective and that there were no material changes in internal control over financial reporting.
