Cloud and software revenue was €26.92 billion, 86% of total revenue. More predictable revenue—cloud plus software support—rose to €25.16 billion and 81% of revenue, from 79% in 2022. Current cloud backlog increased 25% to €13.75 billion at actual currencies; total cloud backlog rose 37% to €44.25 billion.

IFRS gross profit was €22.53 billion. The effective IFRS tax rate was 32.6%, compared with 32.0%; management attributed the increase mainly to changes in deferred-tax-asset valuation allowances, non-deductible expenses, and withholding taxes. Financial income, net improved to a €456 million expense from a €1.39 billion expense, largely reflecting lower fair-value losses on equity investments, partly offset by higher interest and derivative costs.

Material changes versus the prior comparable period

  • Cloud growth continued to outpace legacy revenue: cloud revenue rose 20%, while software license revenue fell 14% and support revenue declined 3%.
  • IFRS operating profit and margin declined despite revenue growth. Higher share-based payment expense (€2.22 billion versus €1.43 billion), personnel and sales costs, accelerated amortization of support-contract acquisition costs, and a €155 million regulatory-compliance provision weighed on results. The prior year also included a €175 million gain from the Litmos sale.
  • Cloud gross margin improved: the filing reports a 2.2-point year-over-year increase under its non-IFRS constant-currency measure. Cost efficiencies and completion of the Next-Generation Cloud Delivery initiative supported the improvement.
  • Cash and cash equivalents fell to €8.12 billion, but current time deposits and debt securities increased; overall group liquidity rose. The Qualtrics sale generated approximately €5.51 billion in net proceeds, while SAP acquired LeanIX, repurchased shares, paid dividends, and repaid debt.
  • Reported profit including discontinued operations benefited substantially from the Qualtrics disposal gain; it should not be treated as recurring operating performance.

Outlook, management commentary, risks, and unusual items

  • 2024 outlook: Cloud revenue of €17.0–€17.3 billion and cloud and software revenue of €29.0–€29.5 billion, both at constant currencies. Non-IFRS operating profit is projected at €7.6–€7.9 billion at constant currencies under a revised 2024 definition. These non-IFRS measures and the 2023 comparatives are not directly like-for-like.
  • Free cash flow is expected to be approximately €3.5 billion in 2024, versus €5.09 billion in 2023. SAP cites about €2.0 billion of restructuring outflows, a €0.2 billion compliance-settlement impact, and a €0.2 billion adverse effect from discontinuing its SAP-triggered financing program.
  • SAP plans a 2024 restructuring program affecting approximately 8,000 positions, with most expected to be addressed through voluntary departures and internal reskilling. Estimated costs are around €2 billion, largely in the first half of 2024. Management expects year-end headcount to be similar to current levels after reinvestment in strategic areas.
  • For 2025, SAP continues to target cloud revenue above €21.5 billion, total revenue above €37.5 billion, and free cash flow of approximately €8.0 billion. Its non-IFRS operating-profit ambition is approximately €10.0 billion under the updated definition.
  • The Executive Board and Supervisory Board proposed a €2.20 per-share dividend for 2023, subject to shareholder approval. The share repurchase program had repurchased 7.56 million shares for approximately €949 million by year-end.
  • In January 2024, SAP reached settlement agreements with U.S. authorities and South African authorities and parties to resolve anti-bribery claims. Required payments total €207 million; SAP had recognized €155 million of provisions at December 31, 2023, with most remaining payments expected in the first half of 2024.
  • Risks include cloud execution, customer migration and renewal, competition and margin delivery, cybersecurity and service availability, data privacy and AI regulation, foreign exchange, geopolitical and economic uncertainty, litigation and intellectual property claims, and complex international tax rules. The filing identifies €1.815 billion of possible additional expense from disputed income-tax matters, including related interest and penalties; SAP has not recorded a provision and believes the claims lack merit.
  • The filing reports effective disclosure controls and internal control over financial reporting at year-end. It also notes that controls over material non-routine transactions were enhanced after a third-quarter 2023 restatement related to the Qualtrics divestiture.

Most important facts for investors to verify

  • Separate recurring cloud and support growth from declining license revenue, and monitor backlog conversion, renewals, and cloud margins.
  • Reconcile the 2024 non-IFRS operating-profit outlook to IFRS results and account for the changed non-IFRS definition, restructuring costs, and share-based compensation treatment.
  • Track actual restructuring headcount, timing, cash costs, and savings against management’s estimates, including the €3.5 billion 2024 free-cash-flow outlook.
  • Confirm settlement payments and the ultimate cash and earnings effects of the anti-bribery matters; review the disputed tax exposures and other contingencies.
  • Assess how much of 2023 total profit and cash generation reflects the Qualtrics disposal, and review the Qualtrics-related restatement and related control enhancements.
