Solventum Corporation — Q1 2024 Form 10-Q
Reporting period: Three months ended March 31, 2024, compared with the three months ended March 31, 2023. Unless noted otherwise, amounts are in U.S. dollars. Solventum completed its spin-off from 3M on April 1, 2024, after the quarter ended; these results are historical carve-out financials, not results of a company operating independently throughout the periods presented.

| Gross profit | $1.172 billion | $1.137 billion | Up 3.1% |
| Gross margin | 58.1% | 56.5% | Up 1.6 percentage points |

| Operating cash flow | $442 million | $509 million | Down $67 million |
| Capital expenditures | $102 million | $65 million | Up $37 million |
Profit and margins: Improved gross margin reflected product pricing and lower logistics costs, partly offset by material and labor inflation; software and rental costs also benefited from product mix. SG&A rose to $596 million from $577 million, with standalone preparation spending cited as a driver. R&D was $195 million in both periods. Operating income increased partly because corporate and unallocated costs were lower ($90 million expense versus $129 million). Net income fell despite higher operating income, as net interest expense was $39 million versus none in the prior-year quarter, other expense was $13 million versus $2 million, and the effective tax rate increased to 28.0% from 19.3%.
Cash flow: Operating cash flow declined, primarily reflecting lower net income and higher inventory, partly offset by favorable accounts payable and receivables movements. Investing cash outflow was $102 million, all reported as property, plant and equipment purchases. Financing cash flow was a net inflow of $462 million, including $8.303 billion of net debt proceeds and $7.851 billion of net transfers to 3M. Cash and cash equivalents were $996 million at March 31, 2024, versus $194 million at December 31, 2023.
Debt and liquidity: Long-term debt was $8.303 billion at March 31, with no current portion reported; estimated fair value was $8.4 billion. The company issued $6.9 billion of senior notes and drew $1.48 billion under term loan facilities in connection with the separation. The notes carry fixed coupons of 5.40%–6.00%, with maturities from 2027 through 2064; term loans have floating rates and maturities in 2025 and 2027. A $2.0 billion revolving facility and a $2.0 billion commercial paper program were available, with no amounts outstanding under either at quarter end. Management expected approximately $400 million of further separation-related cash payments, substantially complete by June 30, 2024, and approximately $600 million of cash retained after required transfers.
Business context and material changes
Solventum operates in MedSurg, Dental Solutions, Health Information Systems, and Purification and Filtration. Total organic sales increased 0.9%; foreign currency reduced reported sales by 0.4 percentage points and divestitures by 0.3 percentage points.
- MedSurg: Sales declined 0.4% to $1.119 billion; segment operating income fell 12.6% to $221 million. Lower volume in advanced wound dressings and sterilization assurance, and planned standalone investments, weighed on results.
- Dental Solutions: Sales declined 1.8% to $335 million, including a 1.8% impact from the prior-year dental local anesthetics divestiture. Segment operating income was $110 million, down 0.9%.
- Health Information Systems: Sales grew 0.3% to $317 million; segment operating income rose 7.4% to $101 million. Higher software sales and lower professional services supported margin.
- Purification and Filtration: Sales grew 6.1% to $245 million and segment operating income rose 8.3% to $39 million. Growth included favorable timing of bioprocessing filtration customer orders.
Q1 statements include 3M corporate and shared-service allocations of $220 million, compared with $229 million a year earlier. Management cautions that allocations and carve-out results may differ materially from costs and performance as a standalone company. The spin-off was completed April 1; 3M distributed approximately 80.1% of Solventum shares, with 3M retaining 19.9% at that time.
Outlook, risks and unusual items
- The filing provides no specific numerical full-year revenue, earnings, or cash-flow guidance. Management describes its objective of growth at attractive margins, but this is not quantified guidance in the filing.
- Management said the benefit from prior-year pricing actions is expected to decline as 2024 progresses. Purification and Filtration’s Q1 growth benefited from order timing, which may affect comparability.
- Key separation risks include higher-than-expected standalone costs, loss of 3M scale, brand and shared services, and dependence on 3M under transition, supply and other agreements. 3M is the sole source for certain materials used in products that generated approximately $3 billion of fiscal 2023 revenue; one proprietary material was associated with approximately $2 billion of that revenue. No substitute had been identified at filing time.
- Solventum reported approximately 6,600 U.S. lawsuits and one Canadian putative class action alleging infections associated with the Bair Hugger patient warming system. Under the separation agreement, Solventum agreed to indemnify 3M for related liabilities, manage the litigation and pay legal expenses. Accrued litigation charges were approximately $23 million; the company could not estimate possible losses in excess of recorded liabilities.
- Other material risk areas include PFAS-related liabilities and the end of certain 3M indemnification coverage after 2025, product liability and regulatory matters, supply-chain disruption, foreign currency and floating-rate debt exposure, and the ability to service $8.3 billion of reported debt. The filing also describes a False Claims Act matter with an agreement in principle to settle, subject to government agreement and final terms.
- The spin-off’s tax-free treatment is subject to conditions and could be challenged; specified actions could trigger tax liabilities and indemnification obligations. The filing also notes potential risks from 3M’s retained ownership and future share sales.
- Solventum reported Moody’s Baa3 and S&P/Fitch BBB- ratings, each with a Stable Outlook, as of March 31, 2024. It stated it did not currently anticipate paying a regular dividend in the near future.
Most important facts for investors to verify
- Standalone operating performance and costs after the transition from 3M, including whether the Q1 improvement in operating margin is sustainable.

- Progress on replacing or extending sole-source 3M material supply, especially for products representing material revenue.
- Developments and potential financial exposure in Bair Hugger litigation and the False Claims Act settlement process, as well as PFAS liabilities and indemnities.
- Whether Purification and Filtration growth persists after the order-timing benefit, and trends in MedSurg volumes and Dental Solutions demand.
- Actual standalone expenses compared with carve-out allocations, and the company’s ability to complete systems, service and control transitions on schedule.
