Trueblue, Inc. quarterly report, Q1 FY2024

TrueBlue, Inc. — Q1 2024 Form 10-Q

Business context and period: TrueBlue provides contingent staffing, recruitment process outsourcing and workforce management through PeopleReady, PeopleScout and PeopleManagement. The unaudited quarter comprised 13 weeks ended March 31, 2024; comparisons are with the 13 weeks ended March 26, 2023. Demand is cyclical and management attributed the broad-based decline to economic uncertainty and clients’ cost controls.

Revenue fell 13.4%. By segment, PeopleReady revenue declined 11.9% to $222.7 million, PeopleScout declined 33.3% to $46.3 million, and PeopleManagement declined 6.5% to $133.9 million. Segment profit was a $5.1 million loss at PeopleReady, $4.9 million at PeopleScout, and $2.8 million at PeopleManagement. Gross margin contracted 180 basis points, mainly from mix shifts, lower PeopleScout revenue, higher workers’ compensation costs and pricing pressure. SG&A fell 12.8%, reflecting cost reductions, but depreciation and amortization increased to $8.0 million, primarily as technology assets entered service.

Liquidity, debt and balance sheet

At March 31, 2024, cash and cash equivalents were $36.2 million; the company reported no debt outstanding. Its $255 million revolving facility matures February 2029. After letters of credit and covenant constraints, $140.3 million was available to borrow; management reported total liquidity of $176.5 million, including cash. The company was in compliance with its covenants. Total assets were $868.6 million and shareholders’ equity was $446.4 million. Cash, cash equivalents and restricted cash totaled $71.7 million, while restricted cash, cash equivalents and investments were $188.0 million, substantially supporting workers’ compensation and deferred-compensation obligations.

Operating cash use reflected seasonal and revenue-related working-capital movements, including payments of accounts payable and a decline in workers’ compensation reserves. Days sales outstanding increased approximately eight days from Q4 2023, partly because a higher share of receivables had longer payment terms. Financing cash use included $10.1 million of share repurchases; $45.1 million remained under the repurchase authorization.

Outlook, commentary and notable items

  • For Q2 2024, management expects revenue to decline 10%–16% year over year, gross margin to decline 100–140 basis points, and SG&A of $97–$101 million. These expectations are subject to revision as economic conditions change.
  • For fiscal 2024, the company expects capital expenditures and SaaS spending of $23–$27 million, a statutory tax rate of 24%–28%, and $4–$8 million of hiring-tax-credit benefit.
  • The Q1 income tax benefit was $12.2 million, primarily reflecting hiring tax credits, including the Work Opportunity Tax Credit. The reported effective tax benefit rate was 87.8%; management noted estimates and the rate can vary.
  • Economic uncertainty and continued weak demand prompted an interim goodwill impairment test. No impairment was recorded, but PeopleReady goodwill of $59.1 million had only about 4% estimated fair-value headroom. Management said relatively modest adverse changes in key assumptions could cause carrying value to exceed fair value.
  • PeopleReady Canada was sold effective February 26 for preliminary consideration of $4.3 million, plus potential contingent consideration up to $2.5 million. The company received $2.9 million net cash proceeds, recognized a $0.7 million pretax gain, and reported $2.6 million of Canadian revenue through closing.
  • After quarter-end, TrueBlue agreed to sell its Tacoma headquarters building for $15.0 million; closing is expected within one year, subject to customary conditions.
  • Workers’ compensation reserves were $187.8 million net of discount. The company warned that insurers may increase collateral requirements; prior-period favorable reserve adjustments are expected to diminish.
