Liquidity, debt and capital allocation
- Cash and cash equivalents were $569 million at December 31, 2022, down from $592 million.
- The company generated $419 million of operating cash flow and used $18 million in investing activities.
- Cash used for share repurchases was approximately $387 million; 9.4 million shares were repurchased at an average price of $41.16.
- The company had approximately $840 million remaining under its general share repurchase authorization, which expires December 31, 2025. No cash dividends were paid or expected in the immediate future.
- Long-term debt consisted primarily of a $500 million unsecured term loan. No borrowings were outstanding under the $400 million revolving facility, leaving the full facility available at year-end.
- The term loan matures in 2027, with quarterly principal payments beginning in 2024. An interest-rate swap hedged approximately 90% of the term loan’s floating-rate exposure.
- Management stated that cash, operating cash flow, refinancing proceeds and available revolver capacity should satisfy requirements for at least the next twelve months.
Material changes versus the prior comparable period
- Revenue declined primarily because of unfavorable foreign exchange, the discontinuation of operations in Russia, lower perpetual and hardware revenue, and a deliberate reduction in lower-margin consulting activity.
- Foreign exchange reduced total revenue by approximately 4%; ceasing Russia operations reduced revenue by approximately $60 million, including approximately $45 million of recurring revenue.
- Gross margin declined because of currency effects, Russia-related charges, and a larger mix of cloud revenue, which was still scaling toward target margins.
- Operating income and net income fell substantially as revenue declined while operating expenses remained broadly stable.
- The business continued shifting from perpetual licenses and maintenance toward subscription and public-cloud offerings. Public Cloud ARR grew strongly, but overall ARR was nearly flat because legacy maintenance and subscription ARR declined.
- Headcount decreased slightly as Teradata aligned its workforce with its cloud-first and profitable-growth strategy.
Guidance, outlook and management commentary
- For 2023, management expected recurring revenue growth of 4% to 7% and total revenue growth of 1% to 4%.
- Public Cloud ARR was expected to grow 53% to 57%, while Total ARR was expected to grow 6% to 8%.
- Perpetual software, hardware and other revenue was expected to decline; consulting revenue was expected to be approximately flat.
- Management expected 2023 gross margin to be slightly below 2022, with cloud gross margin improving as the business scales but recurring margin pressured by the higher cloud mix.
- Operating expenses were expected to decrease through cost discipline and workforce optimization. Approximately $20 million of additional cash outlays for reorganization activities were expected in 2023.
- Currency translation was estimated to have a 0.5% to 1.0% negative impact on 2023 total revenue based on January 31, 2023 exchange rates.
Risks, contingencies and unusual items
- Execution of the cloud-first transformation, customer migration, product scaling, cloud gross-margin improvement and market acceptance of VantageCloud remain central risks.
- The company faces intense competition from hyperscalers, Snowflake, IBM, Oracle, SAP, open-source providers and other analytics vendors.
- Customer subscription renewals, consumption levels, cancellation rights and long sales cycles may cause revenue and cash-flow variability.
- Cybersecurity, data privacy, cross-border data-transfer restrictions and regulatory compliance could increase costs or reduce demand.
- Foreign exchange, inflation, recessionary conditions, international operations and geopolitical events, including the Russia exit, may continue to affect results.
- Hardware manufacturing is concentrated with Flex, and certain components are sourced from single or preferred suppliers.
- The company reported $526 million of transition-tax and purchase obligations, including $457 million of purchase obligations. It also reported $41 million of unrecognized tax benefits.
- Teradata is involved in ongoing litigation with SAP. The filing states that the likelihood and reasonably estimable range of loss for remaining SAP patent counterclaims cannot currently be determined.
- Goodwill impairment testing in the fourth quarter of 2022 identified no impairment. The company reported effective internal control over financial reporting, and its independent auditor issued an unqualified opinion.
