Material Changes Versus Prior Comparable Period

  • Revenue growth accelerated through the contribution of Oi’s mobile assets and strong organic mobile performance. Excluding Oi, 2Q22 net revenue growth was 12.6% and six-month growth was 10.8%.
  • Normalized EBITDA margin declined 1.4 percentage points in 2Q22, primarily because of I-Systems network-rental costs and the Oi-related Temporary Service Agreement. Excluding I-Systems network rental, the margin was 47.7%, broadly stable year over year.
  • Normalized net income declined sharply because of the higher net financial expense, increased interest on debt and leases, lower financial income, and an unfavorable tax comparison.
  • Cash and securities declined by R$4,838 million year over year, while normalized debt increased by R$5,867 million, mainly reflecting the Oi transaction, finance leases, spectrum-related obligations, and new borrowing.
  • Operating free cash flow fell by R$1,222 million year over year, substantially affected by payments related to the 2021 frequency auction.

Outlook, Commentary, Risks, and Unusual Items

  • Management highlighted continued commercial growth, customer migration from Oi, 5G deployment, network integration, FTTH migration, and expansion of fiber infrastructure.
  • No specific financial revenue, EBITDA, cash flow, or earnings guidance is provided in the filing text.
  • Costs included R$50.3 million of non-recurring legal and administrative expenses related to Oi and restructuring projects. Oi-related costs also included two months of TSA expenses, including approximately R$49 million in commercialization and advertising costs.
  • The acquisition added approximately R$2.9 billion of finance leases associated with 7,200 sites and accelerated decommissioning terms and fines. TIM also obtained a R$1.0 billion Scotiabank 4131 loan.
  • Working capital was negatively affected by approximately R$1.1 billion paid for the second EAF installment and approximately R$137 million for the first EACE installment related to the 3.5 GHz spectrum license. The 2022, 2021, and 2020 TFF payments were suspended, with no payment date established.
  • Net financial expense was affected by higher interest rates, inflation-linked debt, lease interest, lower cash balances, and a lower contribution from the C6 subscription bonus.
  • An arbitration proceeding with C6 remains open. TIM held a 4.8% accumulated equity stake in C6 at quarter-end.
  • The filing contains forward-looking statements subject to macroeconomic, competitive, regulatory, integration, financing, operating, and other risks. Management stated that actual results may differ from expectations.

Investor Verification Points

  • Verify the detailed reported income statement, balance sheet, cash flow statement, debt maturities, and liquidity measures in the attached financial statements.
  • Assess the sustainability of revenue and EBITDA growth after separating organic performance from the Oi acquisition contribution.
  • Review the integration costs, TSA obligations, finance leases, network decommissioning liabilities, and expected synergies from Oi’s assets.
  • Monitor leverage, cash balances, interest costs, spectrum-related payments, and the timing of suspended TFF obligations.
  • Review the status and potential financial impact of the C6 arbitration and other contingencies disclosed in the notes.
  • Evaluate whether 5G and FTTH investment requirements could continue to pressure free cash flow and margins.
